What a Stock Grant Agreement Covers

A Stock Grant Agreement is a legal contract that documents the issuance of equity to a grantee, specifying the grant type (restricted stock, restricted stock units, or stock options), number of shares or units, vesting schedule, tax treatment, and any transfer or repurchase rights. It sets the parties' rights and obligations, ties grant events to employment or performance conditions, and normally references the company stock plan. Properly executed agreements support tax elections, corporate recordkeeping, and future securities transfer restrictions.

Why a Clear Stock Grant Agreement Matters

A precise agreement reduces ambiguity about ownership, vesting, and tax obligations and preserves corporate governance records.

Why a Clear Stock Grant Agreement Matters

Who Typically Prepares and Signs This Agreement

Signatures should match corporate authorization levels and the grantee's legal name on tax forms and identification.

  • Startups and founders — use to document early-stage equity and clarify vesting to attract talent.
  • Public and private companies — HR and legal teams manage plan compliance and reporting.
  • Executives and employees — recipients whose compensation or incentives depend on equity terms.

Essential Elements to Include in the Agreement

A professional Stock Grant Agreement contains defined grant mechanics, vesting, tax treatment, transfer restrictions, corporate approvals, and post-termination rules.

Grant Description

Specify grant type, total shares or units, exercise price if applicable, and any performance metrics tied to issuance.

Vesting Terms

Detail vesting start date, schedule (cliff and periodic vesting), acceleration triggers, and treatment on termination.

Tax Treatment

State whether elections like an IRC §83(b) may apply, withholding obligations, and how taxable events are reported.

Transfer Restrictions

Include legend text, right of repurchase, buyback formulas, and restrictions under securities laws.

Corporate Approvals

Record board or compensation committee authorization and reference plan documents and grant resolutions.

Post-Termination Rights

Address exercise windows, forfeiture, severance impacts, and survivorship of obligations after employment ends.

Step-by-Step: From Draft to Fully Executed Agreement

Follow these sequential steps to prepare, approve, and execute a Stock Grant Agreement.

Key Dates and Filing Deadlines to Track

Track dates that affect vesting, tax elections, and reporting to avoid penalties and preserve rights.

Grant Date:

Date the company approves and issues the grant.

Vesting Commencement:

Start date used to calculate vesting periods.

83(b) Election:

File within 30 days of grant for restricted stock (IRC §83(b)).

Tax Reporting:

W-2 and 1099 reporting follows calendar-year IRS deadlines.

Exercise Deadlines:

Post-termination exercise windows vary per agreement terms.

Risks and Consequences of Errors

Missed 83(b): Lost tax election benefits
Incorrect Grantee Name: Tax reporting or transfer delays
No Corporate Approval: Grant may be voidable
Improper Vesting Terms: Disputes over entitlement
Insufficient Withholding: Company liable for payroll taxes
Unsigned Agreement: Enforcement and transfer issues

Common Preparation Mistakes to Avoid

  • Using an informal document without referencing the stock plan, creating conflicts with plan terms and corporate approvals.
  • Not specifying vesting commencement date clearly, leading to disputes about when vesting clocks start running.
  • Failing to provide clear tax guidance to grantees, especially about IRC §83(b) elections and payroll withholding requirements.
  • Omitting transfer restriction legends or failing to update cap table records after issuance, causing transfer and compliance problems.

Real-World Examples of Stock Grant Use

Illustrative use cases show how agreements are applied across organizational contexts.

Startup Equity Grant

A founder issues restricted stock to an early employee with a four-year vesting schedule and one-year cliff.

  • The agreement ties vesting to continued employment and sets repurchase rights.
  • Because the employee filed an IRC §83(b) election within 30 days, ordinary income was recognized at the time of grant, simplifying later tax reporting and enabling cleaner cap table management.

Corporate Executive Award

A public company grants performance-based RSUs under its equity plan with board approval recorded in minutes.

  • Performance metrics determine payout and vesting.
  • The executed agreement references plan terms, specifies SEC reporting obligations, and includes blackout-period compliance to prevent insider trading conflicts.
