What a Stock Option Exercise Agreement covers

A Stock Option Exercise Agreement is a written notice and contract used when an option holder elects to purchase shares under an existing stock option grant. It documents the number of options being exercised, the exercise price, payment method, tax withholding instructions, and the effective date of issuance. The form typically references the underlying stock plan and confirms representations required by the company, such as non-transferability and compliance with securities law. In the United States electronic execution is generally enforceable under the ESIGN Act (15 U.S.C. §7001) and state UETA statutes when consent and retention requirements are satisfied.

Why a clear exercise agreement matters

A complete Stock Option Exercise Agreement creates an unambiguous record of the transaction, protects the company and the option holder, and helps ensure correct tax and securities handling. Properly executed agreements reduce disputes, speed share issuance, and document withholding obligations for payroll and tax reporting.

Why a clear exercise agreement matters

Who typically completes and signs this agreement

The agreement is completed collaboratively by the option holder and company representatives responsible for equity administration.

  • HR or equity administration teams — prepare cap table and issuance instructions for transfer agents.
  • Option holders (employees, consultants, directors) — confirm shares, sign, and provide payment method.
  • Legal or securities counsel — review for compliance with securities laws and plan rules.

The final signed agreement is retained in corporate records and used to trigger issuance, tax withholding, and ledger updates.

Step-by-step: completing an exercise agreement

Follow these four steps to complete and file the exercise notice accurately.

  • 01
Verify grant: Confirm grant ID, vesting status, and available options.

  • 03
Specify payment: State payment method: cash, check, cashless, or net exercise.
  • 04
Sign and submit: Sign the agreement and submit with payment and ID as required.
