What the Stock Option Exercise Notice Form Is

A Stock Option Exercise Notice Form is a written notice used by an option holder to notify their employer or plan administrator of the intent to exercise vested stock options. It documents the number of options exercised, the exercise price, payment method, and requested share issuance. The form creates a record that the company uses to accept payment, issue shares, update the stock ledger and withhold taxes where required. It is not usually a transfer instrument by itself but triggers corporate and tax recordkeeping tied to equity plans and securities obligations.

Why a Proper Exercise Notice Matters

A completed Stock Option Exercise Notice Form establishes the option holder’s clear intent, provides the company with the information needed to process payment and issue shares, and creates an audit trail for tax and compliance purposes under ESIGN/UETA.

Why a Proper Exercise Notice Matters

Who Completes and Reviews This Form

The form is completed by the option holder and processed by corporate stock administration or plan administrators.

  • Option holders and employees notify the company of their intent to exercise vested options and specify payment method and share allocation.
  • Company stock plan administrators confirm vesting, calculate withholding, and instruct transfer agents or corporate counsel.
  • Corporate counsel or payroll coordinates tax withholding, securities compliance, and updates to the corporate stock ledger.

Final checks by payroll and legal ensure tax withholding and securities compliance are applied before shares are issued.

Common Mistakes That Cause Delays

  • Submitting an outdated form version or omitting the grant ID prevents matching to the correct award and halts processing.

  • Choosing an unsupported payment method or not providing broker instructions can invalidate a cashless exercise request.
  • Failing to sign or date the notice—electronic or wet signature per plan—can render the submission incomplete.
