The Option is nontransferable except by will or the laws of descent and distribution and shall not be assignable or transferable for value. The Option may be exercised during Grantee’s lifetime only by Grantee.

In the event of any change in the Company’s capital structure by reason of stock split, reverse split, recapitalization, merger, consolidation or similar event, the number and kind of shares subject to the Option and the exercise price shall be appropriately adjusted in a manner consistent with the Plan to prevent dilution and without creating a fractional share.

Taxes and Withholding

Grantee acknowledges responsibility for any tax liability arising from the grant or exercise of the Option. The Company may require satisfaction of withholding obligations by withholding from payroll or by requiring payment from Grantee prior to issuing any certificates for shares.

Representations and Covenants

Grantee represents that Grantee is acquiring the Option and any shares issued upon exercise for investment for Grantee’s own account and not with a view to distribution. Grantee agrees to comply with any stop-transfer provisions and any legend or agreement required by the Company with respect to shares issuable upon exercise of the Option.

Compliance with Plan; Governing Law

This Agreement is subject to the terms of the Company’s Equity Incentive Plan (the Plan). In the event of any inconsistency, the terms of the Plan shall govern. This Agreement shall be governed by and construed in accordance with the laws of the State of without regard to choice of law principles.
