Either party may terminate this authorization with prior written notice of days to the other party. Termination does not affect obligations incurred prior to termination, including inspection and disposition of rotated stock.

INSPECTION, WARRANTY, AND LIMITATION OF LIABILITY

Returned merchandise is subject to inspection by Supplier. Supplier reserves the right to reject items that do not comply with agreed rotation criteria (including but not limited to condition, packaging, and expiration). If items are rejected, Supplier will notify Retailer within seven (7) business days and arrange disposition at Supplier's election. Credits for accepted items will be issued in accordance with the Payment Schedule above.

Retailer warrants that items returned under this RMA were stored and handled in accordance with industry standards. EXCEPT AS EXPRESSLY PROVIDED HEREIN, SUPPLIER MAKES NO OTHER WARRANTIES, EXPRESS OR IMPLIED, INCLUDING ANY IMPLIED WARRANTY OF MERCHANTABILITY OR FITNESS FOR A PARTICULAR PURPOSE.

IN NO EVENT SHALL EITHER PARTY BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, OR CONSEQUENTIAL DAMAGES ARISING OUT OF OR IN CONNECTION WITH THIS RMA, AND THE AGGREGATE LIABILITY OF EITHER PARTY FOR DIRECT DAMAGES SHALL NOT EXCEED THE CREDIT AMOUNT ACTUALLY ISSUED UNDER THIS RMA.

CONFIDENTIALITY

Each party agrees to keep confidential all non-public business information obtained in connection with this RMA, including pricing, inventory levels, and disposition plans, and to use such information solely for purposes of carrying out the obligations under this RMA. Confidential information shall not include information that is publicly available or lawfully obtained from third parties.

GOVERNING LAW; ENTIRE AGREEMENT

This RMA shall be governed by and construed in accordance with the laws of the state indicated below. Any dispute arising under or related to this RMA shall be resolved in the courts located in that state, subject to applicable jurisdictional rules.

This RMA, together with any referenced purchase orders and prior written authorizations, constitutes the entire agreement between the parties with respect to the subject matter hereof and supersedes all prior understandings, agreements, or communications, whether written or oral.
