What a Stock Video Management Agreement Covers

A Stock Video Management Agreement is a written contract that defines the relationship between a content owner (licensor) and a manager, distributor, or agency that markets, catalogs, licenses, and monetizes a library of stock video assets. It allocates intellectual property rights, licensing scopes, revenue sharing, delivery and metadata requirements, exclusivity or non-exclusivity, term and termination rights, and quality or warranty standards. The agreement typically addresses takedown procedures, insurance and indemnity obligations, confidentiality of unpublished footage, and dispute resolution to reduce ambiguity in commercial exploitation of video content.

Why a clear Stock Video Management Agreement Matters

Using a clear Stock Video Management Agreement protects rights, clarifies revenue splits, and sets attribution, delivery, and licensing rules. It reduces disputes, enables consistent metadata and quality standards for distribution, and provides contractual remedies for misuse, unapproved sublicensing, or breaches.

Why a clear Stock Video Management Agreement Matters

  • Distribution agencies and marketplaces handling metadata, SKU, and catalog management.
  • In-house legal and rights teams negotiating revenue share and indemnity clauses.

Freelancers, production houses, and licensors also use the agreement when granting catalog rights or appointing exclusive or non-exclusive managers.

Practical tips to reduce errors and speed execution

Adopt standard templates and digital workflows to reduce errors and speed execution while preserving audit trails and compliance.

Use a standard, reviewed template
Keep a master template vetted by counsel that includes required warranty, indemnity, and assignment language; track versions and avoid ad hoc edits that create inconsistent obligations.
Require clear metadata and file validation
Mandate specific metadata fields, checksums, and accepted codecs to minimize ingestion errors and ensure accurate reporting and attribution across marketplaces.
Set automated accounting and reconciliation
Automate revenue reporting cadence, payment triggers, and audit rights to ensure timely accounting and reduce manual reconciliation errors across multiple platforms.
Use appropriate signer authentication and retention
Select authentication strength matching transaction risk, capture full audit trails, and store signed PDFs with embedded metadata and immutable timestamps.

Common mistakes to avoid when preparing the agreement

  • Using ambiguous revenue language that omits gross vs net treatment and allowable deductions.
  • Failing to record complete chain-of-title, releases, or third-party clearances for talent and locations.
  • Omitting technical delivery specs and metadata schema, causing ingestion failures and missed sales.
  • Skipping audit rights or audit scope, preventing reconciliation and dispute resolution.

Key legal and financial risks of an incomplete agreement

Breach Damages: Monetary liability
IP Infringement: Statutory damages
Tax Exposure: Penalties or withholding
Loss of Revenue: Unrecoverable royalties
Reputational Risk: Marketplace removal
Audit Costs: Expensive remediation
