What a Stone Fabrication Agreement Covers

A Stone Fabrication Agreement is a written contract between a fabricator and a client that details scope, materials, measurements, fabrication tolerances, installation responsibilities, pricing, delivery, and warranty terms for fabricated stone products such as countertops, cladding, and architectural elements. It defines who supplies raw material, who performs template and site verification, how changes are handled, payment milestones, and remedies for defects or delays. Properly drafted agreements allocate risk, document acceptance criteria, and reduce disputes by establishing clear specifications, schedules, and signatory authority for both parties before fabrication begins.

Why a Clear Agreement Matters for Fabrication Projects

A written Stone Fabrication Agreement reduces misunderstandings, sets enforceable expectations for quality and timing, protects against mechanic’s liens, and documents obligations that influence insurance, payment, and warranty outcomes.

Why a Clear Agreement Matters for Fabrication Projects

Who Typically Prepares and Signs This Agreement

Contractors, fabricators, dealers, and property owners use this agreement to coordinate fabrication, installation, and payment terms during construction and renovation projects.

  • General contractors and construction managers coordinating subcontracted stone work and on-site measurements.
  • Stone fabricators and shops defining scope, tolerances, and responsibilities for production and installation.
  • Property owners, designers, and developers approving specifications, change orders, and final acceptance criteria.

Use signatures from authorized representatives and confirm signatory authority before starting fabrication to reduce downstream disputes.

Step-by-Step: How to Complete and Execute the Agreement

Complete required fields, secure approvals, and confirm signatories before authorizing fabrication to avoid costly rework and delays.

  • 01
Prepare: Gather specs, quotes, and material selections.
  • 02
Draft: Enter scope, schedule, and payment terms.
  • 03
Review: Circulate to stakeholders and verify measurements.
  • 04
Execute: Obtain signatures and store the executed agreement.

Core Clauses Every Stone Fabrication Agreement Should Include

These six elements form the legal and operational backbone of a fabrication contract; include them with clear language to assign responsibility and limit ambiguity.

Scope

Precise description of fabricator deliverables, material grades, finishes, edge profiles, and acceptable tolerances so workmanship and acceptance criteria are clear.

Measurements

Define who performs templating, how site verification is documented, and who covers costs for re-templating caused by inaccurate field measurements.

Payment

Set deposit, progress payments, retainage, final payment, and remedies for late or missed payments including interest and lien rights.

Change Orders

Specify a written change-order process, pricing adjustments, and schedule impacts for any design or material modifications.

Delivery & Installation

Allocate responsibility for delivery, storage, site protection, installation labor, and coordination with other trades to avoid delays.

Warranties & Remedies

State limited warranty scope and duration, inspection periods, and repair or replacement procedures, plus limitation of liability language where appropriate.

Essential Data Fields to Include

Party Names: Exact legal names
Addresses: Street address and ZIP
Contact Info: Phone and email
Material Specs: Stone type and finish
Schedule: Template and install dates
Payment Details: Amounts and terms

Common Legal Risks and Potential Penalties

Mechanic’s Lien: Possible if payment terms not enforced
Delay Damages: Contractual liquidated damages may apply
Warranty Claims: Repair or replacement obligations arise
Invalid Signatures: Improper signer authority may void agreement
Tax Withholding: Incorrect contractor classification risks fines
Document Retention: Failure to retain records invites compliance issues

Frequent Mistakes to Avoid When Preparing This Agreement

  • Using vague scope language that leaves material choice or finish unspecified, creating later disputes over acceptable work.
  • Failing to define who measures and signs off on templates, which shifts liability for rework and additional costs.
  • Omitting a clear change-order procedure and charge schedule, leading to disagreements about extra work and pricing.
  • Not naming authorized signers or confirming electronic signature consent, risking unenforceability or claims of forgery.

How Electronic Execution and Routing Normally Works

Use a structured e-sign workflow to collect authorizations, capture audit trails, and distribute executed copies to all parties for recordkeeping.

  • Upload: Add the agreement file and required attachments.
  • Place Fields: Insert signature, date, and initial fields where needed.
  • Assign Signers: Set signer order and authentication level.
  • Complete: Execute, capture audit trail, and distribute copies.

Recommended Digital Workflow Settings for Fabrication Contracts

Configure these settings when sending the agreement for signature to align security and traceability with project needs.

Field Configuration
Authentication Level Email + SMS code or ID verification
Signer Order Template first, owner second
Notifications Reminders at 3 and 7 days
Audit Trail Capture IP, timestamp, and actions

Platform and Integration Considerations

Choose an eSignature platform that supports secure signatures, audit trails, and the integrations your procurement or ERP systems need.

  • Integrations: Salesforce, NetSuite, Procore supported
  • File Formats: PDF, DOCX, and image imports
  • Security: AES-256 at rest; TLS in transit

Ensure the platform can produce a tamper-evident signed file and retains a verifiable audit trail for dispute resolution and compliance.
