STORAGE CLOSET USE AGREEMENT

This Storage Closet Use Agreement (the "Agreement") is made on by and between Owner Name: with principal address: and Licensee Name: .

WHEREAS

WHEREAS, Owner controls a storage closet located within the premises described as: (the "Closet"); and

WHEREAS, Licensee desires to store personal property in the Closet and Owner is willing to grant Licensee limited use of the Closet subject to the terms and conditions set forth in this Agreement.

SCOPE OF USE

Licensee is granted a non-exclusive, revocable license to use the Closet solely for the storage of the items and in the manner described below. Licensee's storage rights are limited by the terms of this Agreement.

PAYMENT TERMS

Licensee shall pay Owner for use of the Closet as follows:

TERM AND TERMINATION

This Agreement shall commence on and shall continue until unless earlier terminated in accordance with this Agreement.

Owner may terminate this Agreement immediately upon breach by Licensee of any material provision, including but not limited to failure to pay amounts due, storing prohibited items, or creating a hazard in the Closet. Upon termination Licensee shall promptly remove all stored items and return the Closet to Owner in a clean and undamaged condition.

CONFIDENTIALITY

Licensee acknowledges that certain information concerning Owner's premises, security procedures, and other operational details may be confidential. Licensee agrees not to disclose any non-public information obtained as a result of access to the Closet, and to use such information only for purposes reasonably related to the storage contemplated by this Agreement. This confidentiality obligation survives termination for a period of two (2) years.

ACCESS, SECURITY, INSURANCE AND PROHIBITIONS

Access to the Closet is limited to Licensee and those individuals expressly authorized in writing by Licensee. Licensee shall keep the Closet locked when not in use and shall not alter locks or security devices without Owner's prior written consent.

Licensee is responsible for obtaining and maintaining at its expense any insurance coverage for stored items. Owner disclaims any responsibility for loss, theft, damage or diminution in value of stored items except to the extent caused by Owner's gross negligence or willful misconduct.

INDEMNIFICATION AND LIMITATION OF LIABILITY

Licensee shall indemnify, defend and hold harmless Owner and its agents from and against any and all claims, losses, liabilities, damages, costs and expenses (including reasonable attorneys' fees) arising out of Licensee's use of the Closet, including claims related to stored items, except to the extent caused by Owner's gross negligence or willful misconduct. In no event shall Owner be liable for incidental, consequential, or punitive damages.

INSPECTIONS

Owner may enter the Closet for inspection, repairs, maintenance, or to address safety hazards upon reasonable prior notice to Licensee, except in cases of emergency where no notice is required.

GOVERNING LAW; ENTIRE AGREEMENT

This Agreement shall be governed by and construed in accordance with the laws of the State of without regard to conflict of law principles. This Agreement, together with any written attachments executed by the parties, constitutes the entire agreement between the parties with respect to the subject matter hereof and supersedes all prior oral or written agreements.
