Recitals

WHEREAS, Lessor owns and maintains portable storage containers and related equipment (the "Container"); and

WHEREAS, Lessee desires to rent from Lessor, and Lessor desires to rent to Lessee, the Container subject to the terms and conditions set forth in this Storage Container Rental Contract (the "Agreement").

Scope of Rental

The Lessor shall deliver the Container to the location above and provide access for removal at the conclusion of the rental term. The Container shall be used only for lawful storage of personal property, fixtures, equipment, or materials permitted under applicable law and this Agreement. Lessee shall not use the Container for habitation, hazardous materials storage beyond agreed limits, or any unlawful purpose.

Payment Terms

Renewal: If checked, this Agreement will automatically renew on a month-to-month basis at the then-current rate until terminated by either party.

Termination for Convenience: Either party may terminate this Agreement upon days' prior written notice to the other party.

Termination for Default: Upon material breach, including failure to pay rent when due, Lessor may give Lessee written notice of default. If Lessee fails to cure within the lesser of 7 days or the cure period specified in the notice, Lessor may terminate the Agreement, remove the Container, and apply security deposit and other sums as permitted.

Insurance, Risk of Loss and Indemnification

Lessee shall maintain at its expense all-risk property insurance covering the goods stored in the Container and commercial general liability insurance covering Lessee's use of the Container, naming Lessor as an additional insured where requested. Lessee assumes all risk of loss, theft, damage to property stored in the Container, and damage arising from Lessee's use of the Container, except to the extent caused by Lessor's gross negligence or willful misconduct. Lessee shall indemnify, defend, and hold Lessor harmless from and against any claims, losses, costs, damages, liabilities, and expenses (including reasonable attorneys' fees) arising from Lessee's occupancy, use, or breach of this Agreement.

Maintenance, Access and Repairs

Lessee shall keep the Container in a clean and safe condition, shall not permit waste or nuisance, and shall promptly notify Lessor of needed repairs. Lessor may enter the premises for inspection, repair, or to repossess the Container upon reasonable notice, except in emergency circumstances where no notice is required.

Title; Repossession

The Container and all equipment related thereto remain the property of Lessor. If Lessee fails to pay rent or otherwise defaults under this Agreement, Lessor may remove the Container and stored property in accordance with applicable law. Lessee waives any claim against Lessor for damage to personal property resulting from lawful repossession, except for damage caused by Lessor's gross negligence or willful misconduct.

Confidentiality

Each party shall treat as confidential all nonpublic business information and documentation of the other party received in connection with this Agreement. Confidential information shall not include information that (i) is or becomes public other than by breach of this Agreement, (ii) is rightfully received from a third party without confidentiality obligations, or (iii) is independently developed without use of the other party's confidential information. The obligation of confidentiality survives termination of this Agreement for a period of two years.

Limitation of Liability

EXCEPT FOR LIABILITY ARISING FROM GROSS NEGLIGENCE OR WILLFUL MISCONDUCT, IN NO EVENT SHALL LESSOR BE LIABLE FOR INDIRECT, INCIDENTAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES ARISING OUT OF OR RELATING TO THIS AGREEMENT, WHETHER IN CONTRACT, TORT, OR OTHERWISE.

Governing Law; Dispute Resolution

This Agreement shall be governed by and construed in accordance with the laws of the State of without regard to its conflicts of law principles. Any dispute arising under this Agreement shall be resolved by the courts of competent jurisdiction located in that State, unless the parties mutually agree otherwise in writing.

Entire Agreement; Amendment

This Agreement, including any written attachments or addenda signed by the parties, constitutes the entire agreement between the parties relating to the subject matter hereof and supersedes all prior and contemporaneous agreements and understandings, whether written or oral. No amendment or waiver shall be effective unless in writing and signed by both parties.

Notices

All notices required or permitted under this Agreement shall be in writing and delivered to the addresses set forth above or to such other address as either party may designate in writing, and shall be deemed delivered when received in person, by certified mail, or by nationally recognized courier.
