Charges, Lien, and Remedies

Provider shall have a general lien on all stored goods for unpaid storage fees, charges for removal or preservation, and costs of sale. If Client fails to pay charges when due and such failure continues for the notice period specified below, Provider may sell or otherwise dispose of the goods in accordance with applicable law. Client consents to reasonable efforts at notification and an administrative charge to cover notice and sale costs.

Notice period prior to enforcement of lien: (days). Provider may apply payments to outstanding fees, interest, costs, and then to principal in its discretion.

Insurance, Indemnity, and Liability

Client is advised to maintain insurance covering the full value of stored property. Provider is not required to insure Client's property unless otherwise agreed in writing. Provider's liability for loss or damage shall be limited to direct damages proved and caused by Provider's gross negligence; in no event shall Provider be liable for consequential or special damages.

Client shall defend, indemnify, and hold harmless Provider from claims arising out of the nature, condition, or storage of Client's property, except to the extent such claims arise from Provider's gross negligence or willful misconduct.

Default, Termination, and Remedies

Failure to pay fees when due constitutes default. Upon default, Provider may, without further notice where permitted, restrict access, remove contents to storage, accelerate charges, and exercise lien and sale remedies. Termination by Provider for default does not waive Provider's right to recover unpaid fees, interest, collection costs, and damages.

Notices and Governing Law

Notices required by this Agreement shall be in writing and delivered to the addresses set forth above or to such other address as a party designates by notice. This Agreement shall be governed by the substantive laws of the state in which the storage location is situated, without regard to conflict of law principles.

By signing below, Client and Provider acknowledge that they have read and understand this Storage Fee Agreement, agree to its terms, and that the person signing has authority to bind the respective party. All sums due under this Agreement are immediately collectible upon demand.
