STORAGE LICENSE AGREEMENT

This Storage License Agreement ("Agreement") is made and entered into as of by and between Licensor Name: with principal address: and Licensee Name: with principal address: .

RECITALS

WHEREAS, Licensor is the owner or lawful possessor of the storage facility and space described as: (the "Premises"); and

WHEREAS, Licensee desires to obtain a license to store Property (as defined below) at the Premises for the limited purposes and subject to the terms set forth herein; and

WHEREAS, Licensor is willing to grant such a license on the terms set forth in this Agreement.

NOW, THEREFORE, in consideration of the mutual covenants and promises contained herein and other good and valuable consideration, the receipt and sufficiency of which are acknowledged, the parties agree as follows:

1. DEFINITIONS

1.1 "Property" means the goods, materials and personal property described by Licensee and stored within the Premises pursuant to this Agreement. Licensee shall provide an itemized description of stored Property:

1.2 "License Term" means the period during which Licensee is authorized to store Property under this Agreement, as set forth in Section 3.

2. GRANT OF LICENSE

2.1 Subject to the terms and conditions of this Agreement, Licensor hereby grants to Licensee a non-exclusive, revocable license to use the identified storage space at the Premises solely for the storage of Property and for no other purpose. Licensee shall not use the Premises for habitation, manufacturing, hazardous materials, or any unlawful activity.

2.2 The license granted herein is limited to the specific storage space identified as: and does not convey any possessory interest, leasehold, easement, or property right in the Premises.

3. TERM; RENEWAL; TERMINATION

3.1 The initial License Term shall commence on the Effective Date and continue for a period of months, unless earlier terminated in accordance with this Agreement.

3.2 Either party may terminate this Agreement upon written notice if the other party materially breaches this Agreement and fails to cure such breach within days after receipt of notice specifying the breach. Licensor may terminate immediately for nonpayment by Licensee.

4. LICENSE FEE; PAYMENT

4.1 Licensee shall pay to Licensor a license fee of payable in advance on the day of each payment period.

4.2 Late payments shall accrue interest at the rate of on outstanding amounts. Licensee shall be responsible for all costs of collection, including reasonable attorneys' fees.

5. USE OF PREMISES; PROHIBITED ITEMS

5.1 Licensee shall store only the Property described in the Property Description and shall comply with all rules and regulations of Licensor regarding storage, access, and safety. Licensee shall not store or permit the storage of any regulated, flammable, explosive, perishable, radioactive, toxic, or otherwise hazardous items.

5.2 If Licensee stores any prohibited items, Licensor may, at Licensee's expense, remove and dispose of such items without liability to Licensor for loss or damage.

6. ACCESS; SECURITY; KEYS

6.1 Licensee shall have access to the Premises during Licensor's regular access hours subject to reasonable rules. Licensor may require identification and may withhold access for safety or security reasons.

6.2 Keys, access cards, or codes issued to Licensee remain the property of Licensor and must be returned upon termination. Replacement fees for lost keys are:

7. MAINTENANCE AND REPAIRS

7.1 Licensor shall maintain the structural condition of the Premises and shall make routine repairs as necessary. Licensee shall keep the storage space in a neat condition and shall be responsible for repair of any damage caused by Licensee or Licensee's agents.

8. INSURANCE

8.1 Licensee shall, at Licensee's sole cost and expense, maintain insurance covering Licensee's Property stored at the Premises and commercial general liability insurance with limits not less than per occurrence. Licensee shall name Licensor as additional insured where applicable and shall provide certificates of insurance upon request.

9. INDEMNITY; RELEASE

9.1 Licensee shall defend, indemnify and hold harmless Licensor and its officers, agents and employees from and against all claims, liabilities, losses, costs and expenses (including reasonable attorneys' fees) arising from Licensee's use of the Premises, breach of this Agreement, or negligence of Licensee or Licensee's invitees. Licensor shall not be liable for loss or damage to Property stored by Licensee except to the extent resulting from Licensor's gross negligence or willful misconduct.

10. DEFAULT; REMEDIES

10.1 In the event of Licensee's default (including nonpayment), Licensor may exercise any remedy available at law or in equity, including but not limited to terminating this Agreement, taking possession of Property after providing required notice, and selling or disposing of Property in accordance with applicable law. Exercise of one remedy shall not preclude exercise of any other remedy.

11. NOTICES

11.1 All notices required or permitted under this Agreement shall be in writing and delivered by hand, certified mail (return receipt requested), or overnight courier to the addresses set forth below or to such other address as a party designates by notice.

12. ASSIGNMENT

12.1 Licensee shall not assign, transfer, or sublicense its rights under this Agreement without the prior written consent of Licensor, which consent shall not be unreasonably withheld. Any attempted assignment without consent shall be void and may, at Licensor's option, terminate this Agreement.

13. AMENDMENTS; WAIVER

13.1 This Agreement may be amended only by a written instrument signed by both parties. No waiver of any provision or breach shall be effective unless in writing signed by the party granting the waiver, and no waiver shall be deemed a waiver of any subsequent breach.

14. GOVERNING LAW; VENUE

14.1 This Agreement shall be governed by and construed in accordance with the laws of the state specified below. The parties submit to the exclusive jurisdiction of the courts located in the county corresponding to that state for the resolution of disputes.

15. ENTIRE AGREEMENT; SEVERABILITY

15.1 This Agreement (including any attachments executed by the parties) constitutes the entire agreement between the parties relating to the subject matter hereof and supersedes all prior and contemporaneous agreements, understandings and representations, whether oral or written.

15.2 If any provision of this Agreement is held to be invalid or unenforceable by a court of competent jurisdiction, such provision shall be severed and the remaining provisions shall continue in full force and effect.

16. COUNTERPARTS

16.1 This Agreement may be executed in counterparts, each of which shall be deemed an original, and all of which together shall constitute one and the same instrument. Signatures transmitted by facsimile or electronic image shall be binding.
