STORAGE RENTAL LICENCE AGREEMENT

WHEREAS

WHEREAS, Licensor owns or controls the storage facility and related premises described as Storage Unit: (the "Unit"); and

WHEREAS, Licensee desires a licence to occupy and use the Unit solely for storage of personal property in accordance with the terms and conditions set forth herein; and

WHEREAS, Licensor is willing to grant a non-exclusive licence to Licensee for the Unit on the terms contained in this Agreement.

SCOPE OF LICENCE

Licensee is granted a licence (not a lease) to occupy and use the Unit solely for storage of the Licensee's personal property permitted by this Agreement. Licensee shall not use the Unit for living, manufacturing, combustibles storage, or any illegal purpose. Any alteration to the Unit or installation of fixtures requires prior written consent of Licensor.

PAYMENT TERMS

Rental Amount (per payment period): .

All payments are due as set forth in the Payment Schedule. Late payments accrue the Late Fee set forth above and interest at the lesser of 1.5% per month or the maximum rate permitted by law. Licensee shall also be responsible for reasonable costs of collection, including attorneys' fees, incurred by Licensor to collect past due amounts.

Either party may terminate this Agreement upon the lapse of the Notice Period following written notice for convenience. Licensor may terminate immediately upon Licensee's default, including nonpayment or breach of use restrictions. Upon termination, Licensee shall vacate the Unit and remove all property. Licensor may impose reasonable costs for removal, storage, and disposition of abandoned property in accordance with applicable law.

CONFIDENTIALITY

The parties acknowledge that certain information exchanged under this Agreement may be confidential. Each party agrees to protect confidential information of the other and not to disclose such information to third parties except as required by law or to enforce rights under this Agreement. This confidentiality obligation survives termination for a period of two (2) years.

INSURANCE; LIABILITY; INDEMNITY

Licensee shall, at its expense, maintain insurance covering its stored property and liability for damage arising from Licensee's use of the Unit. Licensor is not liable for loss or damage to Licensee's property except to the extent caused by Licensor's gross negligence or willful misconduct. Licensee shall indemnify, defend and hold harmless Licensor from any loss, liability, cost or damage resulting from Licensee's use of the Unit or breach of this Agreement, including reasonable attorneys' fees.

ACCESS; SECURITY; USE RESTRICTIONS

Licensee shall keep the Unit locked and secured and shall not permit access by any third party except as authorized in writing. Licensor may enter the Unit without prior consent in case of emergency, to inspect, maintain the facility, or to protect persons or property. Prohibited items include hazardous materials, flammables, perishable goods, and illegal substances. Licensee is responsible for complying with all laws and facility rules.

DEFAULT; REMEDIES; LIEN

A default occurs upon nonpayment, breach of use restrictions, or material breach of this Agreement. Upon default, Licensor may, in addition to other remedies, lock out Licensee, remove property, and pursue collection of unpaid amounts. Licensor shall have a lien against stored property for unpaid charges and may sell or otherwise dispose of such property after providing the notices and following procedures required by applicable law.

NOTICES

All notices required or permitted under this Agreement shall be in writing and delivered by hand, certified mail, or overnight courier to the addresses set forth above (or such other address as a party designates in writing). Notices shall be effective upon receipt.

GOVERNING LAW; ENTIRE AGREEMENT; MISCELLANEOUS

Governing Law: The validity, interpretation, and performance of this Agreement shall be governed by the laws of the jurisdiction of , without regard to conflict of law principles.

Entire Agreement: This Agreement, together with any addenda or written facility rules incorporated herein, constitutes the entire agreement between the parties relating to the subject matter and supersedes all prior negotiations, representations, or agreements.
