STORAGE SERVICE CONTRACT

Parties

Recitals

WHEREAS, Storage Provider operates facilities for the storage of goods and personal property; and

WHEREAS, Customer desires to engage Provider to store the property described below under the terms and conditions set forth in this Storage Service Contract (the "Agreement"); and

NOW, THEREFORE, in consideration of the mutual promises and covenants herein, the parties agree as follows:

Scope of Services

Provider shall provide storage services for the Customer's property described below at Provider's facility located at the Provider Address above. Provider will exercise reasonable care in providing access and maintaining the storage space, subject to the terms and exclusions in this Agreement.

Payment Terms

Customer agrees to pay Provider the fees described below for storage services. All amounts are due in accordance with the schedule set forth herein. Provider may suspend access for nonpayment in accordance with applicable law and this Agreement.

All fees due under this Agreement shall be paid in lawful currency and are non-refundable except as expressly provided. Customer is responsible for all taxes, assessments, and costs imposed on the storage transaction.

Term and Termination

This Agreement commences on and continues until , unless earlier terminated as provided below.

Either party may terminate this Agreement for convenience upon days' prior written notice to the other party. Provider may terminate this Agreement immediately for Customer's default, including but not limited to nonpayment or breach of material terms. Upon termination, Customer shall remove all property within the time required by Provider; otherwise Provider may exercise its lien and disposition rights as permitted by law.

Access, Use, and Insurance

Customer shall use the storage unit only for lawful storage of personal property and shall keep the property properly packaged and labeled. Customer shall not store hazardous, flammable, perishable, illegal, or noxious materials. Provider reserves the right to deny access or remove items that create a safety hazard.

Customer is required to obtain and maintain insurance for stored property.

Liability, Indemnity and Limitation of Damages

Provider's liability for loss or damage to Customer's property shall be limited to direct damages caused by Provider's gross negligence or willful misconduct, subject to any monetary cap permitted by law and this Agreement. Under no circumstances shall Provider be liable for indirect, consequential, special, or punitive damages. Customer shall indemnify and hold Provider harmless from claims arising out of Customer's breach, negligence, or prohibited use of the storage unit.

Confidentiality

Each party shall treat as confidential all non-public business information disclosed by the other party in connection with this Agreement ("Confidential Information"). Confidential Information shall not include information that is publicly known, already lawfully known, or independently developed without use of the other party's Confidential Information. The receiving party shall not disclose Confidential Information except as required by law or to its employees and agents who have a need to know and are bound by confidentiality obligations no less protective than those in this Agreement.

Notices

All notices required or permitted under this Agreement shall be in writing and delivered to the addresses set forth in the Parties section above or such other address as either party may designate by notice. Notice is effective upon personal delivery or three (3) days after deposit in the United States mail, certified mail, return receipt requested.

Governing Law

This Agreement shall be governed by and construed in accordance with the laws of the state specified below without regard to conflict of law principles. The parties submit to the exclusive jurisdiction of the state and federal courts located in that state for disputes arising under this Agreement.

Entire Agreement; Amendments

This Agreement, together with any attachments or addenda executed by the parties, constitutes the entire agreement between Provider and Customer with respect to the subject matter hereof and supersedes all prior agreements and understandings, whether written or oral. Any amendment or modification to this Agreement must be in writing and signed by both parties.

Miscellaneous Provisions

The parties are independent contractors. Neither party has authority to bind the other. If any provision of this Agreement is held invalid or unenforceable, the remaining provisions shall remain in full force and effect. Waiver of any breach shall not be deemed a waiver of subsequent breaches.
