STRATA MANAGEMENT AGREEMENT

This Strata Management Agreement (the "Agreement") is entered into between:

Property Identification

Appointment, Term and Renewal

The Strata Corporation appoints the Manager to provide strata management services for the Property commencing on and ending on , subject to earlier termination in accordance with this Agreement.

Scope of Management Services

The Manager shall perform the following services on behalf of the Strata Corporation in a professional manner and in accordance with applicable law and the bylaws of the Strata Corporation:

The Manager's authority includes, subject to the limits set out in this Agreement, collection of strata fees, supervision of maintenance and repairs, arranging insurance claims, preparation of financial statements, convening and attending meetings, and engaging contractors.

The Manager may enter into contracts for goods and services up to the amount specified above without prior board approval. Contracts above that amount require prior written approval of the Strata Council unless an emergency repair is required.

Financial Management

The Manager shall maintain separate bank accounts for operating and trust funds, deposit receipts promptly, and provide monthly reconciliations to the Strata Council. Manager shall not commingle Strata funds with Manager's personal or business funds.

Insurance, Maintenance and Repairs

The Strata Corporation retains responsibility for procuring and maintaining insurance for common property in accordance with applicable law and bylaws. The Manager shall assist in claims processing and shall not reduce or alter insurance coverage without Strata Council approval.

Records, Reporting and Meetings

The Manager shall keep accurate books and records, provide monthly financial reports, an annual statement, and attend scheduled Strata Council meetings and annual general meetings as requested.

Disclosures and Representations

The Strata Corporation represents that, to the best of its knowledge, there are no undisclosed material defects, pending litigation affecting the common property, or unsettled insurance claims except as disclosed below.

The Manager represents that it is properly licensed (if licensing applies), has the skill and experience to perform the services, and will comply with all applicable laws and professional standards.

Default, Termination and Remedies

Either party may terminate this Agreement for material breach by the other party if the breach is not remedied within days' written notice. The Strata Corporation may terminate without cause upon days' written notice, subject to payment of all accrued fees.

Upon termination, the Manager shall promptly deliver to the Strata Corporation all records, keys, and funds held on behalf of the Strata Corporation and shall provide reasonable assistance to effect a transition.

Indemnity and Liability

Each party shall indemnify and hold harmless the other party from and against claims, losses, liabilities and expenses arising from its negligence, willful misconduct, or breach of this Agreement. The Manager's liability for direct damages arising from negligence shall be limited to the greater of the Manager's annual fees under this Agreement or unless statutory law requires a different standard.

Confidentiality

The Manager shall keep confidential all non-public records and information of the Strata Corporation and shall not disclose such information except as required by law or as necessary to perform the services under this Agreement.

Governing Law and Entire Agreement

This Agreement shall be governed by and construed in accordance with the laws applicable to the jurisdiction where the Property is located. This Agreement constitutes the entire agreement between the parties with respect to its subject matter and supersedes all prior agreements and understandings, whether written or oral.

Notices

All notices under this Agreement shall be in writing and delivered by hand, courier, or certified mail to the addresses below or to such other address as either party may designate by notice.
