What a Strata Purchase Agreement Covers

A Strata Purchase Agreement is a written contract used to buy a unit within a multi-unit property governed by a strata or condominium association. It sets the purchase price, deposit, seller and buyer obligations, included fixtures, any adjustments for levies or strata fees, and conditions precedent such as strata certificate review or financing. The agreement also allocates responsibility for shared common property, specifies dispute resolution and governing law, and typically incorporates association bylaws and disclosure documents that affect the buyer's use and ongoing costs.

Why a Proper Strata Purchase Agreement Matters

A clear, complete agreement protects both parties by documenting payment terms, conditions, and allocation of strata obligations. It reduces closing delays and limits post-closing disputes about common-area responsibilities, repairs, and levies.

Why a Proper Strata Purchase Agreement Matters

Common parties who prepare or sign a Strata Purchase Agreement

Each participant plays a distinct role: buyers verify condition and strata statements, sellers provide accurate disclosure, and closing agents ensure funds and documents are correctly exchanged.

  • Residential buyer or purchaser representative reviewing disclosures and financing contingencies
  • Seller listing agent preparing contract terms and disclosing strata documents
  • Title or escrow officer coordinating deposit handling, payoffs, and deed recording

Essential clauses to include in a professional agreement

A comprehensive Strata Purchase Agreement combines commercial terms with strata-specific protections. Below are core elements to include and tailor to local practice.

Apportionments

Proration of strata fees, property taxes, utilities, and closing credits.

How to structure a digital signing workflow

Configure roles, authentication, and routing to mirror the offline process while preserving auditability.

Field Configuration
Signer Order Sequential or parallel routing based on escrow needs
Authentication Email link, SMS code, or stronger checks per transaction risk
Attachments Require strata certificate and ID upload before final signing
Completion Notice Automatic PDF and audit log sent to all parties

Typical e-execution flow for a strata sale

A digital process follows the same legal steps as paper: prepare, authenticate signers, execute, and retain verifiable records.

  • Upload: Sender uploads agreement and supporting strata documents.
  • Place fields: Add signature, initial, date, and conditional fields.
  • Send to signers: Deliver via email link or secure signing portal.
  • Store & audit: Signed PDF plus audit trail retained for compliance.

Technical considerations for e-submission and signing

Match technical features to your state and lender requirements and retain copies in secure storage with tamper-evident controls.

  • Authentication Strength: Choose email verification, SMS code, or higher based on transaction risk
  • Audit Trail: Capture IP, timestamps, and action logs for enforceability
  • File Compatibility: Support PDF and DOCX for upload, export, and archival

Consequences of errors or omissions

Title defects: Delay or loss of marketable title
Missing signatures: Unenforceable transfer
Incorrect price: Contract rescission risk
Wrong party name: Title insurance denial
Late recording: Priority disputes with liens
Tax reporting errors: Penalties and backup withholding

Common mistakes to avoid when preparing the agreement

  • Using initials alone where full signatures are required, causing acceptance problems at closing
  • Failing to attach up-to-date strata minutes or financial statements that reveal pending special levies
  • Entering informal or ambiguous descriptions of included fixtures and chattels creating post-closing disputes
  • Not aligning the effective date with deposit timing and financing contingencies leading to missed deadlines
