What a Structural Design Agreement Covers

A Structural Design Agreement is a formal contract between a design professional (engineer or architect) and a client that defines the scope, deliverables, schedule, compensation, and legal responsibilities for structural engineering services. It typically lists required drawings, calculations, code standards, permitting tasks, review cycles, and professional stamp requirements. The agreement allocates risk through warranties, indemnities, insurance minimums, and limitations of liability, and it establishes acceptance criteria for final deliverables and procedures for change orders and dispute resolution.

Why a Clear Structural Design Agreement Matters

A well-drafted agreement reduces scope disputes, clarifies milestones and approvals, protects professional liability, and sets payment and change-order procedures.

Why a Clear Structural Design Agreement Matters

Who Typically Prepares and Signs This Agreement

The agreement is used by teams coordinating design and construction responsibilities across project stakeholders.

  • Owners and developers managing project budgets, approvals, and land use requirements.
  • Architects and structural engineers defining technical scope, calculations, and stamped deliverables.
  • General contractors and specialty subcontractors confirming constructability, timing, and technical coordination.

Clear role definition speeds approvals and reduces downstream claims during permitting and construction.

Representative Signatory Profiles

Structural Engineer

Senior licensed engineer signing on behalf of the design firm. Responsible for calculations, code compliance, sealed drawings, and responding to contractor Requests for Information; needs clear payment, indemnity, and insurance terms to manage professional exposure.

Project Owner

Developer or owner who funds the project and approves scope changes. The owner requires defined milestones, acceptance criteria, payment schedule, and remedies for delayed deliverables or noncompliant work.

Core Sections to Include in a Professional Agreement

A complete structural design agreement groups obligations into discrete, measurable sections so parties can confirm deliverables and manage risk throughout the project lifecycle.

Scope of Work

Precisely list tasks, drawings, calculations, and services provided, including any exclusions and assumptions that limit ambiguity on responsibilities.

Deliverables

Specify formats, number of sets, stamping requirements, and electronic file types for drawings, calculations, and submittals to jurisdiction authorities.

Standards and Codes

Identify governing building codes, engineering standards, and reference editions to ensure consistent compliance during design and permitting reviews.

Schedule and Milestones

Include milestone dates for schematic, permit, construction documents, and responses to contractor inquiries with remedies for missed deadlines.

Fees and Payments

Detail compensation method, invoicing cadence, reimbursable expenses, and change-order pricing to avoid payment disputes.

Liability and Insurance

State limits of liability, indemnity scope, required professional liability and general liability coverage, and certificate requirements.

Step-by-Step: Completing a Structural Design Agreement

Follow these sequential steps to prepare, review, and finalize the agreement so all parties understand deliverables and liabilities.

  • 01
Gather Project Data: Collect site plans, program, soils reports and owner requirements.
  • 02
Draft Agreement: Insert scope, milestones, fees, insurance, and code references.
  • 03
Review and Negotiate: Have counsel and insurance review limits and indemnities.
  • 04
Execute and Distribute: Obtain authorized signatures and circulate final executed copies.

Configuring an Online Workflow for This Agreement

Set up reusable templates and signer authentication for consistent execution and auditability.

Field Configuration
Template Use reusable clause templates for scope and insurance
Signature Type Remote eSignature compliant with ESIGN and UETA
Authentication Email plus SMS code for signer verification
Storage PDF/A archival with access-controlled storage

Platform and File Requirements for eSigning and Archival

Confirm supported file types, integrations, and authentication options before initiating eSignature workflows.

  • File Formats: PDF, Word DOCX, and DWG exports supported
  • Integrations: CRM and storage connectors (Salesforce, NetSuite, Box)
  • Authentication: Email link, SMS code, or advanced verification

Ensure the chosen solution preserves an audit trail and stores tamper-evident signed copies to support future disputes or regulatory reviews.

Typical Electronic Execution Flow

A concise overview of the online signing sequence for digital completion and delivery.

  • Upload Document: Designer uploads final agreement PDF
  • Place Fields: Add signature, date, and initial fields
  • Send to Signers: Issue secure signing links or email invites
  • Receive Executed Copy: All parties obtain signed PDF and audit trail

Key Dates to Track in This Agreement

Identify and calendar the agreement dates that drive design, permitting, and payment triggers.

Effective Date:

Contract start date (use MM/DD/YYYY)

Design Milestone Dates:

Schematic, design development, and construction documents deadlines

Permit Submission Deadline:

Target date for filing permit application with authority having jurisdiction

Response Times:

Turnaround for RFI and submittal reviews, typically 5–15 business days

Payment Due Dates:

Invoicing cadence and net payment terms (e.g., Net 30)

Project Milestones from Agreement to Handover

Sequential milestones help teams coordinate design, permitting, construction, and closeout activities.

01

Proposal & Negotiation

Finalize scope and fee arrangements before work begins.

02

Design Deliverables

Submit required drawings and calculations per agreed milestones.

03

Permitting & Approvals

Obtain authority approvals and address reviewer comments.

04

Construction Handover

Deliver stamped documents and respond to construction inquiries.

Common Preparation Errors to Avoid

  • Vague scope language that leaves critical tasks unassigned and causes disputes during construction.
  • Failing to reference specific code editions, leading to conflicting interpretations with permitting authorities.
  • Attaching unsigned or unfinalized exhibits that are later contested as not part of the agreement.
  • Using an incorrect signer (project manager instead of authorized corporate officer) that undermines enforceability.

Primary Risks If the Agreement Is Incomplete or Incorrect

Contract Disputes: Delay claims or litigation
Payment Delays: Invoices withheld or disputed
Code Noncompliance: Permit rejections or redesigns
Liens: Subcontractor lien filings
Professional Liability: Malpractice or negligence suits
Insurance Gaps: Coverage denied for noncompliant terms

Essential Information to Capture in the Agreement

Parties' Legal Names: Exact names for contracts and tax records
Project Address: Full site address and parcel identifiers
Scope Summary: Concise description of services and exclusions
Referenced Codes: List code editions and standards
Professional Licenses: License numbers and issuing states
Signature Blocks: Authorized signer name, title, and date

Real-World Examples of Agreement Use

Two concise examples showing how different projects use a structural design agreement to manage risk and delivery.

Mid‑Rise Residential Project

A developer and engineering firm agreed fixed milestones for permit-ready drawings and stamping

  • Contractor RFI response time set to 7 business days
  • The precise schedule and payment holdback prevented delays during permitting and clarified responsibility for geotechnical follow-up, reducing potential change-order disputes.

Industrial Retrofit

An owner engaged a consultant for retrofitting existing steel framing with phased deliverables

  • Structural engineer provided phased calculations tied to milestone payments
  • Phased acceptance and clear liability limits allowed construction to proceed in stages while preserving the engineer's ability to manage scope changes and additional testing.
