STUDENT SERVICES AGREEMENT

Parties

Recitals

WHEREAS, Service Provider is duly engaged in the business of providing educational assistance, tutoring, counseling, and other student support services as described herein;

WHEREAS, Student (or Student's Parent/Guardian where applicable) desires to obtain the services of Service Provider on the terms and conditions set forth in this Agreement; and

WHEREAS, the parties wish to set forth their respective rights and obligations with respect to the provision and payment for such services.

Scope of Work

Service Provider will provide the following services to Student. Services shall be delivered in a professional manner consistent with industry standards and any written lesson plans or schedules attached to this Agreement.

Payment Terms

Fees for the services described in this Agreement shall be paid by Student or Student's Parent/Guardian in accordance with the terms below.

Late payments shall incur a late fee as specified below and may result in suspension of services until payment is current.

Term and Termination

This Agreement commences on and terminates on unless earlier terminated pursuant to this Section.

Either party may terminate this Agreement for convenience upon written notice to the other party not less than days prior to the effective date of termination. Service Provider may immediately suspend services if payment is delinquent beyond any stated grace period.

Upon termination, Student shall remain liable for all fees and expenses incurred prior to termination and for any non‑refundable deposits described in this Agreement. Service Provider shall deliver, at Student's request and subject to payment of outstanding sums, any student records or materials prepared in the course of services.

Confidentiality

Each party acknowledges that it may receive Confidential Information of the other party. "Confidential Information" means non‑public personal, educational, health, financial or business information disclosed in connection with this Agreement, excluding information that (a) is or becomes publicly available other than through a breach of this Agreement; (b) was known to the receiving party prior to disclosure; or (c) is rightfully received from a third party without restriction.

The receiving party shall (i) hold Confidential Information in confidence using at least the same degree of care it uses to protect its own confidential information, but no less than reasonable care; (ii) not use Confidential Information except to perform its obligations under this Agreement; and (iii) not disclose Confidential Information to third parties except to employees, contractors or agents who have a need to know and who are bound by confidentiality obligations no less protective than those herein.

Liability and Insurance

Service Provider's liability for damages arising under this Agreement shall be limited to direct damages not to exceed the total fees paid by Student for the services giving rise to the claim. In no event shall either party be liable for indirect, incidental, consequential or punitive damages. Service Provider represents that it maintains commercially reasonable professional liability insurance; proof of insurance shall be provided upon written request.

Governing Law

This Agreement shall be governed by and construed in accordance with the laws of the State of without regard to its conflict of law principles. Venue for any action arising out of this Agreement shall be in the state or federal courts located in the county where Service Provider's principal place of business is located, unless the parties agree otherwise in writing.

Entire Agreement

This Agreement, together with any attachments and written schedules, constitutes the entire agreement between the parties with respect to the subject matter hereof and supersedes all prior and contemporaneous agreements, proposals, and communications, whether written or oral. Any amendment or modification to this Agreement must be in writing and signed by both parties.

Miscellaneous Provisions

If any provision of this Agreement is held to be invalid or unenforceable, the remainder of this Agreement shall remain in full force and effect. The parties are independent contractors; nothing in this Agreement creates an employer‑employee relationship, partnership, or joint venture. Notices required under this Agreement shall be in writing and delivered to the contact information provided above.
