STUDIO MANAGEMENT AGREEMENT

Recitals

WHEREAS, Owner operates the studio identified as "" and desires professional management and operational services for the studio's facilities, bookings, and day-to-day operations;

WHEREAS, Manager represents that Manager has the experience, personnel, and resources necessary to manage, market, and operate the studio on the terms set forth in this Agreement; and

WHEREAS, the parties desire to set forth their respective rights and obligations in writing, effective as of .

Scope of Work

Manager shall provide comprehensive studio management services, including but not limited to scheduling and booking of sessions, on-site facility supervision, equipment maintenance coordination, staffing and contractor management, marketing and client relations, billing and collection of client fees on behalf of Owner, inventory control, and routine reporting to Owner. Specific duties and performance standards shall be as described below.

Payment Terms

As consideration for the services rendered by Manager, Owner shall pay Manager as follows.

Any amount not paid within days after the due date shall incur a late charge equal to percent of the overdue balance per month, or the maximum permitted by law, whichever is less. Manager may suspend services for overdue balances following ten (10) days' written notice to Owner.

Term and Termination

This Agreement shall commence on and, unless earlier terminated in accordance with this section, shall continue until .

Either party may terminate this Agreement for convenience upon providing written notice to the other party. Either party may terminate immediately for material breach by the other party if such breach is not cured within thirty (30) days following written notice of the breach. Upon termination, Manager shall deliver to Owner all records, keys, and property of Owner and shall cooperate with an orderly transfer of management.

Confidentiality

Manager acknowledges that, in the course of performing services, Manager will have access to confidential business information, client lists, pricing, trade secrets, and financial data ("Confidential Information"). Manager agrees not to use or disclose Confidential Information except as necessary to perform services under this Agreement or as required by law. Confidential Information shall not include information that is or becomes publicly available without breach of this Agreement, is rightfully received from a third party without restriction, or is independently developed by Manager without use of Owner's Confidential Information. Upon termination, Manager shall return or destroy Confidential Information at Owner's direction and certify in writing that all such information has been returned or destroyed.

Independent Contractor; Indemnification

Manager is an independent contractor and not an employee or partner of Owner. Manager shall be responsible for all employment-related obligations for Manager's personnel, including taxes and benefits. Manager shall defend, indemnify, and hold Owner harmless from and against any claims, liabilities, losses, costs, or damages arising from Manager's negligence, willful misconduct, or breach of this Agreement, except to the extent caused by Owner's negligence or willful misconduct.

Governing Law; Entire Agreement

This Agreement shall be governed by and construed in accordance with the laws of , without regard to conflict of law principles. The parties consent to the exclusive jurisdiction and venue of the courts located in that jurisdiction for any disputes arising under this Agreement.

This Agreement constitutes the entire agreement between the parties with respect to the subject matter hereof and supersedes all prior and contemporaneous agreements, representations, and understandings, whether written or oral. No amendment or modification of this Agreement shall be effective unless in writing and signed by both parties.

Notices

All notices required or permitted under this Agreement shall be in writing and delivered to the addresses set forth above or to such other address as either party may designate by notice in accordance with this provision. Notices shall be deemed given upon personal delivery, one (1) business day after delivery to a nationally recognized overnight courier, or three (3) business days after deposit in the U.S. mail, postage prepaid.
