STUDIO USAGE POLICIES

This Studio Usage Policies Agreement (the Agreement) is entered into as of Effective Date: by and between Studio Name: and Client Name: .

WHEREAS

WHEREAS, Studio operates a commercial production and rehearsal facility and provides space, equipment, and related services to persons and entities for creative, rehearsal, recording, production, and photographic use; and

WHEREAS, Client desires to use the Studio's premises and equipment under the terms and conditions set forth in this Agreement, and Studio is willing to permit such use subject to the terms herein.

WHEREAS, the parties intend for this Agreement to define the permitted uses, payment terms, operational rules, and each party's liabilities and obligations.

SCOPE OF USE

PAYMENT TERMS

Total Fee for Services: $ . Deposit required at booking: $ (applied to total fee).

Late Payment: Unpaid amounts shall accrue interest at or a flat late fee of $ per late invoice, whichever is greater. Client is responsible for collection costs and attorneys' fees incurred by Studio to collect overdue sums.

Studio may terminate this Agreement immediately upon written notice for material breach, illegal activity, failure to pay, or conduct that threatens safety or property. Upon termination, Client shall vacate the premises, settle outstanding charges, and reimburse Studio for any damage or cleaning beyond normal wear.

OPERATIONAL RULES AND FACILITY POLICIES

Hours of Use: Studio access is permitted during scheduled hours set forth in the Booking Confirmation. Unscheduled entry is prohibited. Extended hours require prior written approval and may incur additional fees.

Access and Security: Client is responsible for all persons admitted by Client. Keys, codes, or access cards remain the property of Studio. Lost keys/cards incur a replacement fee and any costs to rekey or change access systems.

Cleaning and Restoration: Client shall return the premises in the same condition as received. Failure to do so permits Studio to assess a cleaning/restoration charge at cost plus an administrative fee.

Equipment Use: Use of Studio equipment is limited to authorized items specified in the Scope of Use. Client shall not modify, repair, or remove Studio equipment without prior written consent. Damage or loss to equipment caused by Client or Client's invitees shall be paid by Client at replacement or repair cost.

Prohibited Activities: Illegal activity, sale of contraband, use of open flames, hazardous materials, or any conduct likely to cause damage or nuisance is prohibited. Smoking indoors is strictly prohibited.

INSURANCE, LIABILITY, AND INDEMNITY

Insurance: Client shall maintain, at Client's expense, commercial general liability insurance with limits not less than and shall furnish a certificate of insurance upon request naming Studio as an additional insured for use of the premises where required.

Waiver of Studio Liability: Studio shall not be liable for loss, damage, or theft of Client property. Client assumes all risk of loss or damage to Client's property and equipment while on Studio premises.

Indemnification: Client shall indemnify, defend, and hold harmless Studio, its owners, employees, and agents from and against all claims, liabilities, losses, damages, costs, and expenses (including reasonable attorneys' fees) arising out of Client's use of the premises, violations of this Agreement, or acts or omissions of Client's agents, employees, contractors, or invitees.

RECORDINGS, MEDIA, AND PUBLICITY

Media Use: Client shall obtain any required releases from performers and talent. Studio may use photographs or short clips of the premises for marketing unless Client checks the box below to restrict Studio's use.

COMPLIANCE AND SAFETY

Client shall comply with all applicable laws, building rules, and safety regulations. Client is responsible for safety of its invitees and must immediately report any accidents, injuries, or hazardous conditions to Studio management.

CONFIDENTIALITY

Definition and Obligation: Confidential Information means non-public, proprietary or trade-secret information disclosed by one party to the other in connection with this Agreement. Each party shall keep Confidential Information in strict confidence and shall not disclose it to third parties except as required by law or with prior written consent.

Duration: The confidentiality obligations set forth herein shall continue for a period of three (3) years after the termination of this Agreement, except for trade secrets, which shall remain protected for as long as such information qualifies as a trade secret.

ENTIRE AGREEMENT

Integration: This Agreement, together with any attached Booking Confirmation or mutually executed addenda, constitutes the entire agreement between the parties with respect to the subject matter hereof and supersedes all prior negotiations, representations, or agreements, whether written or oral. Any modification must be in writing and signed by both parties.

GOVERNING LAW

This Agreement shall be governed by and construed in accordance with the laws of the State of , without regard to its conflicts of law principles. Venue for any action arising under this Agreement shall be in the state or federal courts located nearest to the Studio address unless otherwise agreed in writing.

ADDITIONAL TERMS
