What a Sub-Contractor Agreement Covers

A Sub-Contractor Agreement is a written contract that defines the relationship between a primary contractor and a subcontractor engaged to perform part or all of a project. It sets scope of work, deliverables, payment terms, schedule, insurance and indemnity obligations, and termination rights. The agreement allocates risk, clarifies responsibilities for labor and materials, and often requires subcontractor compliance with the prime contract, permits, and safety rules. Properly drafted agreements reduce disputes and provide measurable remedies for breach, delay, or defective performance.

Why a Formal Sub-Contractor Agreement Matters

A clear agreement protects both parties by defining scope, price, schedule, and liability allocation, reducing misunderstandings and litigation risk while supporting payment and lien defenses.

Why a Formal Sub-Contractor Agreement Matters

Who Commonly Prepares and Signs These Agreements

Make sure signatory authority is verified and the appropriate insurance, bonding, and licensing sections are completed before signatures are accepted.

  • General contractors and construction managers who hire trade subcontractors for specialty work.
  • Specialty subcontractors (electrical, plumbing, HVAC, framing) who need written terms for payment and scope.
  • Project owners and developers who require flow-down clauses from primes to subs.

Who Signs and What Their Roles Are

General Contractor

A company officer or authorized project manager typically signs for the prime contractor. That signer binds the prime to payment schedules, scope changes, and indemnity obligations and should have authority to approve change orders.

Subcontractor

An authorized representative of the subcontractor signs to accept scope, payment terms, insurance requirements, and warranty obligations; signatures must match the contractor’s registered business name to avoid payment or lien issues.

Key Compliance and Security Elements to Confirm

Encryption: TLS 1.2/1.3 in transit, AES-256 at rest
Audit Trail: Comprehensive timestamp and IP history
HIPAA: BAA required for health data handling
21 CFR Part 11: Support for FDA-regulated records
SOC 2 / ISO: SOC 2 Type II and ISO 27001 certs
ESIGN / UETA: Legal compliance for U.S. e-signatures

Key Risks When the Agreement Is Incorrect

Unclear Scope: Work disputes and change-order claims
Incorrect Parties: Payment delays and unenforceable lien rights
Missing Insurance: Uninsured exposure for claims
Improper Signatures: Potential non-enforceability
Faulty Payment Terms: Late payment penalties and interest
No Indemnity Limits: Excessive liability exposure

Common Preparation Mistakes to Avoid

  • Using vague scope language that omits measurable deliverables, resulting in differing performance expectations and downstream disputes.
  • Failing to confirm the subcontractor’s legal business name and license status, which can block payments and lien rights.
  • Neglecting to require certificates of insurance and to name the prime contractor as additional insured before work begins.
  • Relying on verbal change orders or unsigned amendments, which complicates payment entitlements and claims resolution.

Step-by-Step: How to Complete a Sub-Contractor Agreement

Follow these steps to create a clear, enforceable agreement that reduces payment and performance disputes.

  • 01
Identify parties: Enter full legal names and entity types.
  • 02
Define scope: Describe tasks, deliverables, and milestones.
  • 03
Set payment: Specify amounts, schedule, retainage, and invoicing.
  • 04
Assign risk: Include insurance, indemnity, and warranty terms.

Typical Workflow for Issuing and Signing

A standard process streamlines review, signature, and distribution so work begins on schedule and compliance documentation is captured.

  • Draft: Create the agreement with attachments.
  • Review: Legal and risk review for flow-downs.
  • Sign: Signatures captured and recorded.
  • Distribute: Final copies and insurance certificates stored.

Essential Clauses Every Professional Agreement Should Include

Include these six elements to protect project schedule, payment, and liability interests. Each clause reduces a specific dispute risk and clarifies ongoing obligations.

Scope of Work

Precise description of tasks, drawings, and deliverables, including who supplies materials and whether work adheres to prime contract specifications.

Payment Terms

Price, progress-payment schedule, retainage amount, invoicing instructions, and acceptable proof of completion for each milestone.

Change Orders

Process and authority for approving changes, pricing adjustments, and time extensions, including notice periods and documentation required.

Insurance & Bonds

Required policies, limits, certificate holders, additional insured language, and performance/payment bond obligations where applicable.

Indemnity & Liability

Allocation of responsibility for third-party claims, limits on consequential damages, and defense obligations for covered losses.

Termination & Remedies

Events giving rise to termination, cure periods, payment on termination, and dispute resolution procedures including mediation or arbitration.

Practical Tips for Drafting and Reviewing

Small drafting choices have outsized impact on enforceability, payment, and risk allocation; use these drafting practices to reduce issues.

Use precise metrics
Reference drawings, accepted standards, and measurable acceptance criteria to avoid subjective performance disputes.
Match party names
Use the exact legal entity name on contracts, insurance certificates, and W-9s to prevent payment delays.
Clarify lien rights
Define notice procedures for claims and any required lien waivers tied to payments.
Document changes
Require written change orders signed by authorized parties before extra work begins.

Common Dates and Timing to Include

Capture critical dates in the agreement to trigger obligations, payments, and statutory timelines.

Effective Date:

Date the agreement takes effect (MM/DD/YYYY).

Start Date:

When work or mobilization begins.

Completion Date:

Final performance or milestone deadline.

Payment Due:

Net payment terms, e.g., Net 30 from invoice date.

Insurance Expiry:

Policy end dates must cover project term.
