What a Sub Receipt Agreement Is and When It’s Used

A Sub Receipt Agreement documents that a subordinate party (for example, a subcontractor, supplier, or agent) has received specified goods, funds, deliverables, or documents from a primary contracting party. It records what was delivered, the date and time of receipt, the parties involved, and any conditions attached to acceptance. The agreement provides an auditable chain of custody for project materials, financing advances, or transferred title, and may be used to trigger payment, confirm delivery milestones, or support lien waiver and closeout processes.

Why a Sub Receipt Agreement Matters for Risk and Recordkeeping

A clear Sub Receipt Agreement reduces disputes by documenting exactly what changed hands, when, and under what terms. It preserves evidence for billing, lien waivers, insurance claims, and regulatory audits and supports enforceability when combined with clear signatures and retention practices.

Why a Sub Receipt Agreement Matters for Risk and Recordkeeping

Who Typically Prepares and Signs a Sub Receipt Agreement

Common users include contracting parties that need proof of delivery and acceptance, plus administrative staff who manage billing and closeout.

  • Subcontractors and suppliers who receive materials or payments and must acknowledge receipt for project records and payment processes.
  • Project managers and general contractors who need documented confirmation to release progress payments and to support lien waivers.
  • Accounts payable and contract administrators who record receipts for invoice matching, tax records, and audit trails.

Knowing the typical roles helps assign the correct signer, streamline approvals, and avoid processing delays.

Step-by-step: Completing a Sub Receipt Agreement

Follow a consistent sequence to reduce errors: identify parties, describe items received, confirm the date and condition, note consideration or credit applied, obtain required signatures, and retain the executed document in the project file.

  • 01
Prepare Document: Identify parties, reference the primary contract, and list items or funds received.
  • 02
Record Details: Describe quantities, serial numbers, condition, and delivery location if applicable.
  • 03
Signatures: Obtain signatures and dates from the receiving party and authorized representative.
  • 04
Retain Copy: Store the executed receipt with contracts, invoices, and related records.

Tax Penalties: IRC §6721 reporting penalties

Frequent pitfalls to avoid when preparing a Sub Receipt Agreement

  • Vague descriptions that omit quantities, serial numbers, or invoice references create ambiguity and invite disputes about what was received.
  • Using trade or DBA names rather than the legal entity name can delay payments and create tax reporting mismatches for 1099 or contractor records.
  • Failing to record the receipt date in MM/DD/YYYY format can complicate statute of limitations calculations and payment triggers.
  • Relying on handwritten signatures without an audit trail increases friction when proving intent or when parties later contest the signature’s authenticity.
