Subagent Agreement

This Subagent Agreement (the "Agreement") is entered into as of Effective Date: by and between Principal: with principal address , and Subagent: with subagent address .

Recitals

WHEREAS, Principal is engaged in the business of providing products and/or services in the field of (the "Business");

WHEREAS, Principal desires to engage Subagent to solicit orders and perform limited agency services on behalf of Principal in the Territory described below, subject to the terms and conditions of this Agreement; and

WHEREAS, Subagent represents that Subagent has the capability, licenses and experience to perform such services and agrees to act as an independent contractor under this Agreement.

NOW, THEREFORE, in consideration of the mutual promises and covenants contained herein, the parties agree as follows:

1. Appointment

Principal hereby appoints Subagent, and Subagent accepts such appointment, as a limited subagent to solicit customers for the Business in the Territory: . The appointment granted hereunder is exclusive non-exclusive.

2. Scope of Authority

Subagent is authorized to solicit prospective customers and to receive orders subject to final acceptance by Principal. Subagent shall not have authority to bind Principal to any contract, admit liability, make warranties on behalf of Principal, or incur any obligation in Principal's name, except as expressly set forth in writing by Principal. Any power to negotiate or execute contracts on behalf of Principal must be expressly delegated in writing.

3. Term and Termination

The term of this Agreement shall commence on the Effective Date and continue for an initial period of months, unless earlier terminated in accordance with this Article. Either party may terminate this Agreement without cause upon days' prior written notice to the other party. Principal may terminate immediately for cause upon written notice for material breach, insolvency, failure to maintain required licenses, or conduct which, in Principal's reasonable judgment, materially injures Principal's reputation or business.

4. Compensation

As consideration for services rendered by Subagent, Principal will pay Subagent commissions in accordance with this Section. The commission rate shall be of Net Revenues received by Principal from sales solicited by Subagent. "Net Revenues" shall mean gross invoice amounts less returns, discounts, taxes collected, and reasonable chargebacks actually credited.

Commissions will be calculated monthly and paid within days after Principal's receipt of payment from the customer. Principal may offset commissions for short payments, credits, refunds, chargebacks, or for any amounts owed by Subagent to Principal.

5. Reporting; Records; Audit

Subagent shall submit written reports to Principal in the form reasonably required by Principal, including details of solicitations, leads, orders, and payments. Reports shall be submitted on a basis. Subagent shall maintain accurate books and records relating to its activities under this Agreement for a period of years, and Principal shall have the right to audit such records upon reasonable notice during regular business hours.

6. Compliance With Laws; Licenses

Subagent shall at all times comply with applicable federal, state and local laws, rules and regulations in performing services under this Agreement and shall obtain and maintain all licenses, permits and registrations required to perform those services. Subagent shall promptly notify Principal of any governmental inquiry, investigation, or enforcement action that could materially affect Subagent's performance.

7. Confidentiality

Subagent shall hold in confidence and not disclose to any third party any Confidential Information of Principal. "Confidential Information" includes trade secrets, customer lists, pricing, technical data and other non-public information disclosed by Principal. Confidentiality obligations survive termination of this Agreement for a period of months, except to the extent the information becomes public other than through Subagent's breach. Remedies for breach include injunctive relief and damages.

8. Non-Solicitation

During the term of this Agreement and for a period of months following termination, Subagent shall not, directly or indirectly, solicit or service customers of Principal introduced to Subagent by Principal, except pursuant to prior written consent of Principal.

9. Indemnification

Subagent shall indemnify, defend and hold harmless Principal and its affiliates from and against any and all losses, liabilities, damages, costs and expenses (including reasonable attorneys' fees) arising out of Subagent's negligent acts, willful misconduct, breaches of this Agreement, or violation of applicable law. Principal shall indemnify, defend and hold Subagent harmless from claims arising from Principal's products, services or representations made by Principal to customers.

10. Insurance

Subagent shall maintain at its expense insurance coverage customary for the industry and appropriate to the risks under this Agreement, including commercial general liability and professional liability coverage with limits of not less than per occurrence. Subagent shall furnish certificates evidencing such coverage upon Principal's request.

11. Independent Contractor

Subagent is an independent contractor and not an employee, partner, joint venturer, or agent of Principal for any purpose other than the limited authority granted in this Agreement. Subagent has no authority to enter into any contract on behalf of Principal except as expressly provided in writing.

12. Assignment

Neither party may assign or delegate its rights or obligations under this Agreement without the prior written consent of the other party, except that Principal may assign to an affiliate or successor in connection with a sale of substantially all of Principal's assets or business without Subagent's consent.

13. Notices

All notices under this Agreement shall be in writing and delivered by personal delivery, overnight courier, or certified mail (return receipt requested) to the addresses set forth below (or to such other address as a party may designate by written notice):

This Agreement may be amended or modified only by a written instrument signed by both parties. No failure or delay by either party in exercising any right will operate as a waiver of that right, and no single or partial exercise of any right will preclude any further exercise of that right.

15. Governing Law; Venue

This Agreement shall be governed by and construed in accordance with the laws of the State of without regard to its conflict of laws principles. The parties submit to the exclusive jurisdiction of the state and federal courts located in that State for resolution of disputes arising under this Agreement.

16. Entire Agreement; Severability

This Agreement, including all exhibits and schedules attached hereto, constitutes the entire agreement between the parties with respect to the subject matter hereof and supersedes all prior and contemporaneous agreements and understandings. If any provision of this Agreement is held invalid or unenforceable, the remaining provisions will continue in full force and effect.

17. Counterparts; Electronic Signatures

This Agreement may be executed in counterparts, each of which will constitute an original and all of which together will constitute one instrument. Signatures transmitted by electronic means (including scanned signatures transmitted by email) shall be binding and enforceable as originals.

The parties agree to cooperate in good faith to effectuate the purposes of this Agreement and to execute such further documents as may be reasonably required. The headings in this Agreement are for convenience only and do not affect interpretation.
