What a Subaward Agreement Is and when it’s used

A Subaward Agreement is a written contract used when a prime recipient of grant funding delegates a portion of the funded program or project to another organization (the subrecipient). It assigns specific scope of work, budget and payment terms, reporting and audit obligations, compliance with sponsor requirements, and flow-down clauses from the prime award. Subawards clarify responsibilities for allowable costs, intellectual property, record retention, and termination. Typical attachments include a scope of work, budget detail, reporting schedule, and required compliance certifications.

Why a clear Subaward Agreement matters

A precise Subaward Agreement reduces compliance risk, speeds fund disbursement, and documents who is responsible for deliverables, reporting, and audits under the prime award.

Why a clear Subaward Agreement matters

Who prepares and signs Subaward Agreements

Multiple roles collaborate on subawards: grants administrators prepare templates, investigators define scope, and authorized officials sign.

  • Prime recipient grants office — prepares template, ensures flow-down compliance and funding legality.
  • Subrecipient project manager — accepts scope, budgets, and reporting responsibilities in writing.
  • Institutional authorized official — approves legal terms and signs on behalf of the organization.

Clear assignment of roles in the agreement shortens review cycles and helps satisfy sponsor audit requirements.

Core clauses every professional Subaward Agreement should have

A complete subaward bundles technical, financial, and compliance terms so both parties and auditors can confirm responsibilities and performance expectations.

Scope of Work

Define deliverables, milestones, measurable outcomes, and acceptance criteria tied to budget and reporting obligations; attach statement of work as an exhibit.

Budget & Payments

Specify total award amount, payment schedule, allowable cost categories, invoicing requirements, and any cost-share obligations; include budget detail spreadsheet.

Compliance Flow-downs

Flow prime award terms (federal regulations, sponsor conditions) to the subrecipient, including audit access and restrictions on use of funds.

Reporting Requirements

List financial and program reporting intervals, required formats, submission channels, and contact points to ensure timely sponsor reporting.

Intellectual Property

Allocate rights and responsibilities for inventions, data, and publication consistent with prime award and institutional policy; define licenses where needed.

Termination & Remedies

State grounds for termination, notice periods, closeout obligations, and repayment responsibilities if funds are disallowed or results are deficient.

Step-by-step: complete and execute a Subaward Agreement

Follow these sequential steps to prepare, approve, and finalize a subaward while maintaining compliance and audit readiness.

  • 01
Prepare draft: Populate template fields, attach scope and budget, and insert flow-down clauses.
  • 02
Internal review: Route to grants, legal, and finance for approvals and compliance checks.
  • 03
Obtain signatures: Collect signatures from authorized officials and any required institutional offices.
  • 04
Distribute executed copy: Send final executed agreement to subrecipient, prime award file, and grants administration records.

How to set up an online subaward signing workflow

Configure a standard digital workflow so routing, authentication, and retention are consistent across subawards.

Field Configuration
Signer order Sequential: Grants Office → Subrecipient Signatory → Institutional Official
Authentication Email link with optional SMS code or advanced ID verification for high-risk awards
Attachments Require SOW and budget as mandatory attachments before signing
Retention settings Enable permanent audit trail and export to records management system

Where to send executed Subaward Agreements and required copies

Routing executed agreements to the right offices ensures financial control, sponsor reporting, and audit readiness.

  • Prime grants file: Retain executed original in the prime recipient’s official grant file.
  • Subrecipient copy: Provide the subrecipient with the fully executed agreement and all exhibits.
  • Finance office: Send a copy to finance for payment setup and invoicing.
  • Records management: Archive signed PDF and audit trail in your records retention repository.

Technical considerations for electronic completion and signature

Ensure your e-signature platform supports required formats, authentication, and integrations used in subaward workflows.

  • File formats: PDF, DOCX supported for upload and signed export.
  • Integrations: Salesforce, NetSuite, Google Workspace and Box integrations simplify distribution and recordkeeping.
  • Authentication: Email link, SMS code, and advanced ID verification options available.

Timing and common deadline triggers for Subaward Agreements

Key dates determine when costs may be charged, when reporting starts, and when retention obligations begin.

Execution before costs:

Execute agreement before obligating funds or allowing subrecipient to incur reimbursable costs.

Project start date:

Effective Date establishes start of allowable cost period and reporting cadence.

Interim reporting dates:

Follow prime award reporting schedule (monthly, quarterly, or as specified).

Invoice submission deadline:

State invoice cutoffs and payment windows in budget section to avoid late claims.

Audit access period:

Maintain records and provide access for sponsor audits per award terms.

Real-world examples of Subaward Agreement use

These brief scenarios show how subawards function in typical institutional settings and common outcomes.

University Research Office

  • Proper flow-down of sponsor terms preserved compliance during an audit and enabled timely invoicing and reimbursement for eligible project expenses.

Nonprofit Pass-through

A nonprofit prime recipient passes federal grant funds to a smaller community organization for program delivery.
