What a Subaward Funding Agreement Is and when it applies

A Subaward Funding Agreement is a written contract between a prime award recipient (prime) and a subrecipient that allocates grant or contract funding, defines the scope of work, and flows down applicable compliance requirements from the prime award. It documents responsibilities for program performance, budget lines, reporting cadence, audit rights, indirect cost treatment, and termination rights. Subawards are common in federal grants (e.g., NSF, NIH, USDA) and state-funded programs; they differ from procurement contracts because they support programmatic objectives rather than acquire goods or routine services.

Why a clear Subaward Funding Agreement matters

A precise subaward clarifies roles, protects federal funding compliance, reduces audit findings, and sets payment and reporting expectations so both prime and subrecipient can perform with fewer disputes.

Why a clear Subaward Funding Agreement matters

Who typically prepares and signs a Subaward Funding Agreement

Common users include grant administrators, sponsored projects offices, prime contractors, and subrecipient program leads who manage compliance and budgets.

  • University research administration teams that manage federal pass-through awards and ensure flow-down of OMB uniform guidance.
  • Nonprofit program managers acting as subrecipients under state or federal grants who must meet reporting and audit requirements.
  • Prime contractors or agencies that issue subawards to vendors, consultants, or partner organizations to carry out funded tasks.

Primary signers and approvers

Grant Manager

Grants or sponsored programs officer who reviews budget compliance, approves flow-down clauses, and controls execution. This person ensures the subaward aligns with prime award terms and institutional policies.

Authorized Official

Executive or contracting officer authorized to bind the organization. Their signature affirms legal acceptance of obligations, financial commitments, and representations contained in the subaward.

Essential sections to include in a professional Subaward Funding Agreement

A complete subaward organizes obligations, finances, and compliance into clear sections so both parties can meet federal, state, and institutional requirements without ambiguity.

Compliance and Flow-down

Applicable federal regulations (e.g., OMB Uniform Guidance), audit access, conflict of interest, data rights, and clauses required by the prime award.

Termination & Disputes

Termination for convenience/default, notice periods, remedies, dispute resolution procedures, and closeout obligations including final audit.
