SUBCONSULTANT SERVICES AGREEMENT

RECITALS

WHEREAS, Prime Consultant is engaged by a client to perform professional services for the project identified as: (the "Project");

WHEREAS, Prime Consultant desires to retain Subconsultant to perform a portion of the work on the Project under the terms and conditions set forth herein;

WHEREAS, Subconsultant represents that it has the experience, personnel, licenses and resources necessary to perform the assigned work and agrees to perform such work in accordance with industry standards and the schedule required by Prime Consultant.

SCOPE OF WORK

Subconsultant shall perform the services described below and in any attachments incorporated into this Agreement. Subconsultant shall perform all services in a professional and workmanlike manner consistent with the standards generally observed in the industry for similar services.

PAYMENT TERMS

Subconsultant shall submit itemized invoices referencing the Project and applicable milestone. Prime Consultant shall pay undisputed amounts in accordance with the Invoice Submission and Payment Terms above. Disputed invoice items shall be addressed promptly in good faith by the parties and the undisputed portion paid pursuant to the agreed terms.

Either party may terminate this Agreement for convenience upon days prior written notice to the other party. Either party may terminate for material breach if the breach remains uncured for days after written notice. Termination shall not relieve Prime Consultant of the obligation to pay for work properly performed and accepted prior to termination.

CONFIDENTIALITY

Each party shall maintain in confidence all proprietary or confidential information disclosed by the other party that is designated as confidential or that reasonably should be understood to be confidential given the nature of the information and the circumstances of disclosure ("Confidential Information"). Confidential Information shall not include information that: (a) is or becomes publicly known through no fault of the receiving party; (b) is rightfully received from a third party without restriction; (c) is independently developed by the receiving party; or (d) is required to be disclosed by law, provided the receiving party gives prompt written notice and cooperates to obtain protective orders where practicable.

INSURANCE AND INDEMNITY

Subconsultant shall maintain insurance customary for the services provided, including commercial general liability and professional liability coverages with limits not less than: . To the fullest extent permitted by law, Subconsultant shall indemnify, defend and hold harmless Prime Consultant and its officers, agents and employees from and against claims, liabilities, losses and expenses arising out of Subconsultant's negligent acts, errors or omissions in the performance of services under this Agreement, except to the extent caused by Prime Consultant's negligence or willful misconduct.

COMPLIANCE, PERSONNEL AND SUBCONTRACTING

Subconsultant shall perform all services as an independent contractor and shall be solely responsible for its employees, subcontractors, taxes, withholding, and benefits. Subconsultant shall obtain Prime Consultant's prior written consent before engaging any sub-subconsultant, and shall remain responsible for the performance of any approved subcontractor.

NOTICES

Notices shall be delivered to the addresses above by hand, certified mail, or nationally recognized courier and shall be effective upon receipt.

GOVERNING LAW; DISPUTE RESOLUTION

This Agreement shall be governed by and construed in accordance with the laws of the State of , without regard to its conflict of laws rules. The parties shall first attempt in good faith to resolve any dispute arising out of or relating to this Agreement through negotiation. If negotiation fails, disputes shall be resolved by binding arbitration or litigation as agreed in writing by the parties.

ENTIRE AGREEMENT

This Agreement, including all schedules and attachments expressly incorporated herein, constitutes the entire agreement between the parties with respect to the subject matter hereof and supersedes all prior and contemporaneous agreements, understandings and communications, whether written or oral. No amendment or modification shall be binding unless in writing and signed by both parties.

MISCELLANEOUS

If any provision of this Agreement is held to be invalid or unenforceable, the remaining provisions shall continue in full force and effect. Neither party may assign this Agreement without the other party's prior written consent, except that Prime Consultant may assign to a successor in interest to its business or the Project.
