What a Subcontract Debarment Agreement Is and When It’s Used

A Subcontract Debarment Agreement is a written statement by a subcontractor certifying that it, its principals, or certain affiliates are not debarred, suspended, proposed for debarment, declared ineligible, or voluntarily excluded from federal, state, or industry-specific contracting programs. The form documents representations required by prime contractors or public agencies before award or payment, and it records the subcontractor’s obligation to disclose any relevant exclusions during performance. It is commonly requested for government, construction, healthcare, and large commercial procurements to reduce compliance and procurement risk.

Why This Agreement Matters for Contract Compliance

The Subcontract Debarment Agreement limits procurement risk by confirming a subcontractor’s eligibility to perform work, protecting primes from regulatory sanctions and funding disallowances, and creating a formal record that supports audits and vendor due diligence.

Why This Agreement Matters for Contract Compliance

Who typically completes or requests this agreement

Common users include parties who need a reliable, auditable representation about a subcontractor’s exclusion status before awards, payments, or onboarding.

  • Prime contractors verifying subcontractor eligibility during bid evaluation or contract execution.
  • Procurement and compliance officers maintaining audit trails and meeting sponsor or grantor requirements.
  • Subcontractors providing formal attestations to remain eligible for current and future work.

The agreement creates a clear accountability record and a prompt for ongoing reporting obligations if an exclusion or suspension occurs.

Typical signers and their roles

Prime Contractor

Procurement or contract compliance officer who requests the agreement, reviews disclosures, and decides on award or continued payment. They maintain the record for audit and may condition payments on accurate representation.

Subcontractor Representative

Authorized officer or compliance official who certifies the subcontractor’s non-debarment status, agrees to ongoing disclosure duties, and signs under penalty of law for false statements.

Core elements to include in a professional Subcontract Debarment Agreement

A clear, enforceable agreement groups factual representations, disclosure obligations, remedies, signature blocks, and governing law to ensure consistent review and auditability across procurements.

Debarment Representation

A concise affirmation that the subcontractor and relevant principals are not debarred, suspended, proposed for debarment, declared ineligible, or voluntarily excluded under applicable federal or state rules.

Scope of Disclosure

Description of which persons, entities, affiliates, and time periods are covered by the representation and what events trigger an update or report.

Reporting Duty

Obligation for the subcontractor to notify the prime within a short, stated period if an exclusion, suspension, or indictment occurs during contract performance.

Remedies

Contractual consequences for false certification or late disclosure, including termination, withholding, indemnity, or referral for debarment investigation.

Supporting Evidence

Space to attach or reference background checks, SAM.gov search results, or other vendor vetting documents used to verify eligibility at award.

Execution Block

Signature and date fields for an authorized signatory, printed name, title, and a certification statement acknowledging legal penalties for false statements.

  • Neglecting to update the form promptly after a change in status, which increases legal and financial exposure for both parties.
