SUBCONTRACTOR AGREEMENT

This Subcontractor Agreement (the Agreement) is made and entered into as of Effective Date: by and between Client Name: , a company organized under the laws of with its principal place of business at (hereinafter referred to as "Contractor"), and Subcontractor Name: , located at (hereinafter referred to as "Subcontractor") (each a Party and collectively the Parties).

RECITALS

WHEREAS, Contractor has entered into or anticipates entering into a prime contract or agreement for the performance of certain work described as (the Project); and

WHEREAS, Contractor desires to engage Subcontractor to perform a portion of the work for the Project and Subcontractor desires to perform such work under the terms and conditions set forth herein.

WHEREAS, the Parties intend for Subcontractor to perform the Work (as defined below) in a manner consistent with the prime contract between Contractor and its client, a copy or summary of which has been provided to Subcontractor.

NOW, THEREFORE, in consideration of the mutual covenants and promises contained herein, the Parties agree as follows:

1. DEFINITIONS

1.1 "Work" means the services, labor, materials and deliverables to be performed and supplied by Subcontractor as described in Section 2 and in the Scope of Work attached hereto or described below.

2. SCOPE OF WORK

2.1 Subcontractor shall furnish all labor, materials, equipment and supervision necessary to complete the following scope of work in a professional and workmanlike manner in accordance with industry standards:

3. COMPENSATION AND PAYMENT

3.1 Contractor shall pay Subcontractor for satisfactory performance of the Work the total amount of: $ (the Contract Price), subject to additions and deductions for approved Change Orders.

3.2 Payment Terms: Subcontractor shall submit invoices itemizing labor, materials and approved expenses. Contractor shall pay undisputed amounts within days after receipt of a proper invoice. Disputed amounts may be withheld pending resolution.

4. CHANGE ORDERS

4.1 Any change to the Work must be authorized in writing by Contractor in a Change Order describing the change in scope, adjustment to the Contract Price and schedule. Subcontractor shall not proceed with changed work without a written Change Order executed by Contractor.

5. INDEPENDENT CONTRACTOR

Subcontractor is an independent contractor and shall be solely responsible for the manner and means of performing the Work. Subcontractor shall be responsible for withholding and paying all taxes and contributions required by applicable law with respect to its employees and subcontractors.

6. CONFIDENTIALITY

Subcontractor shall keep confidential and shall not disclose to any third party any confidential or proprietary information of Contractor or Contractor's client, except as required to perform the Work or as required by law. Upon termination or completion of the Work, Subcontractor shall return or destroy confidential materials as directed.

7. INTELLECTUAL PROPERTY

Unless otherwise agreed in writing, all work product, designs, drawings, reports and other deliverables prepared by Subcontractor in connection with the Work shall be the sole and exclusive property of Contractor. Subcontractor hereby assigns to Contractor all right, title and interest in such work product and agrees to execute documents reasonably requested to perfect such assignment.

8. INDEMNIFICATION

To the fullest extent permitted by law, Subcontractor shall indemnify, defend and hold harmless Contractor, its affiliates, contractors and clients, and their respective officers, directors and employees from and against any claims, damages, losses, liabilities and expenses (including reasonable attorneys' fees) arising out of or resulting from the performance of the Work, except to the extent caused by Contractor's sole negligence or willful misconduct.

9. INSURANCE

Subcontractor shall maintain at its expense insurance coverage customary in the industry and sufficient to protect Contractor from claims arising out of Subcontractor's operations, including commercial general liability, workers' compensation, and automobile liability. Minimum limits: . Certificates of insurance shall be provided upon request.

10. TERMINATION

10.1 Contractor may terminate this Agreement for convenience upon providing days' written notice to Subcontractor. In the event of termination for convenience, Subcontractor shall be entitled to payment for Work performed to the date of termination and reasonable demobilization costs, subject to set-off for Contractor's damages.

10.2 Contractor may terminate for cause if Subcontractor fails to cure a material breach within days after receiving written notice of such breach.

11. REPRESENTATIONS AND WARRANTIES

Subcontractor represents and warrants that: (a) it is duly organized and in good standing under applicable law; (b) it has full power and authority to enter into this Agreement; (c) the Work will be performed in a professional manner and in accordance with applicable laws, codes and industry standards; and (d) Subcontractor has all necessary licenses and approvals required to perform the Work.

12. COMPLIANCE WITH LAWS

Subcontractor shall comply with all applicable federal, state and local laws, regulations and ordinances, including safety requirements and labor laws. Subcontractor shall ensure that all personnel are properly trained and supervised.

13. RECORDS AND AUDIT

Subcontractor shall maintain complete records of labor, materials and costs related to the Work for a period of years following final payment. Contractor shall have the right to audit such records upon reasonable notice.

14. LIMITATION OF LIABILITY

EXCEPT FOR SUBCONTRACTOR'S INDEMNITY OBLIGATIONS AND LIABILITY FOR WILLFUL MISCONDUCT OR GROSS NEGLIGENCE, NEITHER PARTY SHALL BE LIABLE TO THE OTHER FOR CONSEQUENTIAL, INCIDENTAL, SPECIAL OR PUNITIVE DAMAGES ARISING OUT OF OR RELATED TO THIS AGREEMENT.

15. NOTICES

All notices required or permitted under this Agreement shall be in writing and delivered to the addresses set forth below or such other address as either Party may designate by written notice.

16. AMENDMENTS; WAIVER; COUNTERPARTS

This Agreement may be amended only by a written instrument signed by both Parties. No failure or delay by either Party in exercising any right shall operate as a waiver of that right. This Agreement may be executed in counterparts, each of which shall be deemed an original and all of which together shall constitute one instrument.

17. GOVERNING LAW; ENTIRE AGREEMENT; SEVERABILITY

17.1 Governing Law: This Agreement shall be governed by and construed in accordance with the laws of the State of , without regard to its conflict of laws principles.

17.2 Entire Agreement: This Agreement, including any attachments, exhibits and approved Change Orders, constitutes the entire agreement between the Parties with respect to its subject matter and supersedes all prior agreements, negotiations and understandings, whether written or oral.

17.3 Severability: If any provision of this Agreement is held to be invalid or unenforceable, the remainder of this Agreement shall remain in full force and effect and such provision shall be reformed only to the extent necessary to make it valid and enforceable.

18. MISCELLANEOUS

18.1 Subcontractor shall not assign this Agreement or any right hereunder without the prior written consent of Contractor, which consent shall not be unreasonably withheld.

18.2 The rights and remedies provided herein are cumulative and in addition to any other rights or remedies available at law or in equity.
