SUBCONTRACTOR AGREEMENT ADDENDUM

This Subcontractor Agreement Addendum ("Addendum") is made effective as of , by and between Contractor Name: whose principal place of business is , and Subcontractor Name: whose principal place of business is .

RECITALS

WHEREAS, the parties entered into a Subcontractor Agreement dated (the "Agreement"), establishing the terms under which Subcontractor performs certain work for Contractor; and

3.1 Payment Adjustment: In consideration of the amended scope, Contractor shall pay Subcontractor the following additional or revised amounts as full compensation for the Work described in this Addendum:

4.2 Indemnity: Subcontractor shall indemnify, defend, and hold harmless Contractor and its affiliates, agents, and employees from and against any claims, liabilities, damages, losses, and expenses (including reasonable attorneys' fees) arising out of or resulting from Subcontractor's performance of the amended Work, except to the extent caused by Contractor's gross negligence or willful misconduct.

5. REPRESENTATIONS AND WARRANTIES

5.1 Subcontractor represents and warrants that (a) it has the requisite experience, ability, and resources to perform the amended Work; (b) all Work will be performed in a good and workmanlike manner in accordance with the Agreement and industry standards; and (c) Subcontractor holds all licenses, permits and approvals required by applicable law.

6. CONFIDENTIALITY

6.1 Confidential Information: All provisions of the Agreement regarding confidentiality and protection of proprietary information shall continue to apply to any information exchanged under this Addendum. Subcontractor shall not disclose Contractor Confidential Information except as expressly permitted by the Agreement.

7. CHANGE ORDERS AND SCOPE

7.1 Any further changes to scope, price, or schedule shall be processed only by written change order executed by authorized representatives of both parties in accordance with the Agreement. No oral modification shall be binding.

8. TERMINATION

8.1 Termination Rights: Except as modified below, the termination provisions of the Agreement remain in full force. The parties agree that the following additional grounds for termination apply to the scope addressed by this Addendum:

No amendment to this Addendum shall be effective unless made in writing and signed by authorized representatives of both parties. No waiver of any breach or default shall be deemed a waiver of any subsequent breach or default.
