SUBCONTRACTOR AGREEMENT

This Subcontractor Agreement ("Agreement") is made and entered into as of Effective Date: by and between Contractor Name: with principal place of business at and Subcontractor Name: with principal place of business at (each a "Party" and collectively the "Parties").

RECITALS

WHEREAS, Contractor has entered into one or more prime contracts, purchase orders or subcontracts (each a "Prime Contract") requiring certain work, services and deliverables; and

WHEREAS, Subcontractor represents that it possesses the necessary experience, personnel, equipment and licenses to perform the Work described in this Agreement; and

WHEREAS, Contractor desires to engage Subcontractor, and Subcontractor agrees to perform, certain portions of the Work under the terms and conditions set forth herein.

SCOPE OF WORK

Subcontractor shall perform the services and provide the materials described below (the "Work") in accordance with the schedules and requirements set forth in this Agreement.

PAYMENT TERMS

In the event payment is not received by Contractor within days after the invoice due date, payments shall accrue interest at the rate of % per month, or the maximum lawful rate if lower. Alternatively, a late fee of may be applied per late invoice when permitted by law.

Either Party may terminate this Agreement for material breach by the other Party if such breach is not cured within the notice period specified above. Contractor may also terminate for convenience upon providing the notice period, subject to payment for Work performed and documented costs reasonably incurred by Subcontractor through the effective date of termination.

CONFIDENTIALITY

Subcontractor shall treat as Confidential Information all non-public information disclosed by Contractor or the Owner that is designated confidential or that by its nature should reasonably be understood to be confidential. Subcontractor shall not disclose Confidential Information to third parties except to its employees, agents or subcontractors who have a need to know and who are bound by confidentiality obligations no less protective than those contained herein. Confidential Information does not include information that is or becomes publicly available through no breach of this Agreement, was rightfully in Subcontractor's possession prior to disclosure, or is independently developed without use of Confidential Information.

INDEPENDENT CONTRACTOR; ASSIGNMENT

Subcontractor is an independent contractor and not an employee, agent, or partner of Contractor. Subcontractor shall be solely responsible for payment of all wages, taxes and other employment-related obligations for its personnel. Subcontractor shall not assign this Agreement or subcontract material obligations without the prior written consent of Contractor; any attempted assignment without consent shall be void.

INSURANCE AND INDEMNITY

Subcontractor shall maintain, at its own expense, insurance coverage customary for the Work, including general liability, workers' compensation and, where applicable, automobile liability and professional liability. Subcontractor shall indemnify, defend and hold harmless Contractor, its officers, agents and employees from and against all claims, damages, losses and expenses arising out of or resulting from the performance of the Work to the extent caused by Subcontractor's negligent acts, omissions, or willful misconduct.

GOVERNING LAW; DISPUTE RESOLUTION

This Agreement shall be governed by and construed in accordance with the laws of the State of without regard to conflict of law principles. The Parties shall first attempt to resolve disputes through good-faith negotiation. If unresolved, disputes shall be subject to binding arbitration or litigation as agreed in writing by the Parties.

REPRESENTATIONS AND WARRANTIES

Subcontractor represents and warrants that it has the authority to enter into this Agreement, that the Work will be performed in a professional and workmanlike manner consistent with industry standards, and that Subcontractor possesses all licenses, permits and qualifications required by applicable law to perform the Work.

ENTIRE AGREEMENT

This Agreement, including any attachments, exhibits and referenced documents, constitutes the entire agreement between the Parties with respect to the subject matter hereof and supersedes all prior negotiations, representations and agreements, whether written or oral. Amendments to this Agreement must be in writing and signed by authorized representatives of both Parties.

MISCELLANEOUS

If any provision of this Agreement is held invalid or unenforceable, the remaining provisions shall remain in full force and effect. Neither Party's delay or failure to exercise any right shall operate as a waiver of such right. Notices required under this Agreement shall be in writing and delivered to the contact information set forth below.
