SUBCONTRACTOR ASSIGNMENT AGREEMENT

This Subcontractor Assignment Agreement (the Agreement) is made as of (Effective Date), by and between:

WHEREAS

WHEREAS, Assignor entered into a subcontract (the Original Subcontract) with dated , to perform certain work described therein; and

WHEREAS, Assignor desires to assign and transfer to Assignee certain rights, obligations and interests of Assignor under the Original Subcontract, and Assignee desires to accept such assignment and assume the assigned obligations, subject to the terms and conditions set forth in this Agreement.

SCOPE OF WORK

Assignor assigns to Assignee, and Assignee accepts, all rights and obligations related to the portion of work described below under the Original Subcontract. Assignee agrees to perform the work in accordance with the terms of the Original Subcontract and applicable law.

PAYMENT TERMS

Assignee will be entitled to payments for the assigned work subject to the Original Subcontract and the terms below. All payments due to Assignor under the Original Subcontract for assigned work shall, as of the Effective Date, be payable to Assignee to the extent of the assigned portion, provided that any invoicing, retainage, and conditional payments shall be governed by the payment schedule and requirements of the Original Subcontract unless otherwise agreed in writing by the Contractor.

TERM AND TERMINATION

This assignment is effective as of the Effective Date and shall continue until the later of completion of the Assigned Work or termination as provided below.

Either party may terminate this Agreement for material breach by the other party if the breaching party fails to cure the breach within the notice period provided above. Termination shall not relieve Assignee of liability for obligations assumed prior to termination.

CONFIDENTIALITY

Each party acknowledges that during the performance of the Assigned Work it may receive confidential, proprietary or non-public information of the other party or the Contractor. Each party agrees to hold such information in strict confidence and not to disclose such information except to the extent necessary to perform its obligations under the Assigned Work or as required by law. Confidential information does not include information that is publicly available through no breach of this Agreement.

REPRESENTATIONS, WARRANTIES AND INDEMNIFICATION

Assignor represents and warrants that (a) it has full power and authority to assign the rights described herein, (b) the Assigned Work is not subject to any lien or encumbrance that would interfere with Assignee's performance, and (c) there are no uncured defaults under the Original Subcontract that would prevent assignment. Assignee represents and warrants that it possesses the skill, licenses, and resources necessary to perform the Assigned Work.

Each party shall indemnify, defend and hold harmless the other party from and against any losses, liabilities, claims, damages and expenses arising from the indemnifying party's breach of this Agreement, negligence, or willful misconduct in connection with performance of the Assigned Work; provided that indemnification obligations shall be subject to applicable limitations in the Original Subcontract.

ASSIGNMENT EFFECT; CONTRACTOR CONSENT

Upon execution of this Agreement, Assignor assigns to Assignee all assignable rights and transfers to Assignee the obligations related to the Assigned Work. Assignee hereby accepts such assignment and assumes those obligations. To the extent the Original Subcontract requires the Contractor's consent to assignment, Assignor shall procure such consent prior to or contemporaneously with execution of this Agreement, and shall attach evidence of such consent if available.

GOVERNING LAW

This Agreement shall be governed by and construed in accordance with the laws of the State of without regard to conflict of laws principles.

ENTIRE AGREEMENT

This Agreement, together with the Original Subcontract (to the extent incorporated herein) and any documents expressly referenced and executed by the parties, constitutes the entire agreement between the parties with respect to the subject matter hereof and supersedes all prior oral or written agreements, understandings, or representations relating to such subject matter. No modification shall be binding unless in writing and signed by both parties.

NOTICES

All notices required or permitted under this Agreement shall be in writing and delivered to the addresses set forth above, or to such other address as a party may designate by written notice. Notices shall be effective upon personal delivery, upon confirmed delivery by overnight courier, or three (3) days after deposit in the United States mail, postage prepaid, certified mail, return receipt requested.

SEVERABILITY

If any provision of this Agreement is determined to be invalid or unenforceable, the remaining provisions shall remain in full force and effect and the invalid or unenforceable provision shall be reformed only to the extent necessary to make it valid and enforceable.
