Budget & Payment

Compensation for the Subcontractor's services shall be as follows. All payments are exclusive of applicable taxes unless otherwise stated.

Change Orders

Any change to scope, schedule, or price shall be effected only by a written Change Order executed by authorized representatives of the Client and the Subcontractor. Work performed without an executed Change Order is at the Subcontractor's risk for payment.

Confidentiality

Each party acknowledges that it may receive Confidential Information. The recipient shall: (a) hold Confidential Information in strict confidence; (b) use Confidential Information solely for performance under this Contract; and (c) not disclose Confidential Information except to employees or subcontractors on a need-to-know basis who are bound by equivalent confidentiality obligations. Confidential Information does not include information that is publicly known through no breach by the recipient or that is independently developed without reference to the discloser's Confidential Information.

Insurance, Indemnity & Liability

The Subcontractor shall maintain insurance coverage appropriate to the scope of work, including commercial general liability, workers' compensation, and professional liability where applicable. The Subcontractor shall indemnify and hold harmless the Client from third-party claims arising out of the Subcontractor's negligent performance, except to the extent caused by the Client's gross negligence or willful misconduct.

Termination

Either party may terminate this Contract for material breach by the other party if such breach remains uncured after thirty (30) days written notice. The Client may terminate for convenience upon providing fifteen (15) days written notice; in such event the Subcontractor shall be entitled to payment for work performed and documented costs incurred through the effective date of termination, less reasonable mitigation.

Dispute Resolution & Governing Law

The parties shall attempt to resolve disputes in good faith through escalation to senior management. If unresolved within thirty (30) days, disputes shall be resolved by arbitration before a single arbitrator in accordance with the parties' agreement. This Contract is governed by the laws of the state indicated below without regard to conflict of law principles.

Representations, Warranties & Compliance

Each party represents that it has the full right, power, and authority to enter into this Contract. The Subcontractor warrants that services will be performed in a professional manner consistent with industry standards and in compliance with applicable laws, codes and regulations.

Assignment & Subcontracting

The Subcontractor shall not assign or subcontract any material obligation under this Contract without the Client's prior written consent. Notwithstanding consent, the Subcontractor remains responsible for the performance of its subcontractors and compliance with this Contract.
