SUBCONTRACTOR SERVICES AGREEMENT

This Subcontractor Services Agreement (Effective Date: ) is entered into by and between Contractor Name: , Contractor Address: , and Subcontractor Name: , Subcontractor Address: . Each of Contractor and Subcontractor may be referred to individually as a "Party" and collectively as the "Parties."

RECITALS

WHEREAS, Contractor has entered into or is negotiating a prime contract for certain work described as: (the "Prime Contract");

WHEREAS, Contractor desires to engage Subcontractor to perform a portion of the services required under the Prime Contract, and Subcontractor represents that it has the skill, experience and resources to perform such services in accordance with the terms of this Agreement;

WHEREAS, the Parties intend that the work performed by Subcontractor shall conform to the schedule, specifications and standards established by Contractor and by the Prime Contract.

NOW, THEREFORE, in consideration of the mutual covenants herein contained, the Parties agree as follows:

1. DEFINITIONS

1.1 "Work" means the services, deliverables and materials Subcontractor is required to provide under this Agreement as described in Section 2 below.

1.2 "Contract Documents" means this Agreement, attachments, the Prime Contract requirements to the extent incorporated herein, and any drawings, specifications or directives issued by Contractor.

2. SCOPE OF WORK

2.1 Subcontractor shall perform the Work described as follows:

3. TERM; SCHEDULE

3.1 The term of this Agreement shall commence on the Effective Date and continue until completion of the Work, unless earlier terminated in accordance with Section 11. Scheduled commencement: ; scheduled completion: .

3.2 Time is of the essence. Subcontractor shall comply with schedules and sequencing directed by Contractor and shall promptly notify Contractor of any circumstances likely to delay performance.

4. COMPENSATION AND PAYMENT

4.1 Contractor shall pay Subcontractor for the Work a total fixed price of (the "Contract Price"), subject to adjustments as expressly set forth in this Agreement.

4.2 Payment Schedule: invoices shall be submitted in accordance with the payment schedule and shall include itemized charges, applicable retainage, and supporting documentation. Payment terms are net days from receipt of an undisputed invoice.

4.3 Contractor may withhold payment for defective or nonconforming Work, failure to comply with Contract Documents, or amounts reasonably disputed in good faith.

5. INDEPENDENT CONTRACTOR; TAXES

5.1 Subcontractor is an independent contractor and not an employee, partner or agent of Contractor. Subcontractor shall be solely responsible for all taxes, withholdings and other statutory obligations arising from the performance of the Work.

5.2 Subcontractor shall maintain all licenses, permits and approvals required by law to perform the Work.

6. INSURANCE

6.1 Subcontractor shall procure and maintain at its expense insurance coverage customary for the trade and sufficient to protect Contractor from claims arising out of the performance of the Work, including commercial general liability, automobile liability, worker's compensation and employer's liability. Minimum limits: Commercial General Liability per occurrence.

7. INDEMNITY

7.1 Subcontractor shall indemnify, defend and hold harmless Contractor, its officers, directors and agents from and against any and all claims, liabilities, damages, losses and expenses (including reasonable attorneys' fees) arising out of or resulting from Subcontractor's performance of the Work, except to the extent caused by Contractor's sole negligence or willful misconduct.

7.2 The obligations of indemnity shall survive completion or termination of this Agreement.

8. WARRANTIES

8.1 Subcontractor warrants that all Work will be free from defects in workmanship and materials and will conform to the Contract Documents for a period of following final acceptance.

8.2 Remedies for breach of warranty shall include repair or replacement at Subcontractor's expense and reimbursement for reasonable costs incurred by Contractor in remediating defective Work.

9. CONFIDENTIALITY; INTELLECTUAL PROPERTY

9.1 Each Party shall keep confidential all proprietary information disclosed by the other Party and shall not use such information except for performance of the Work. Confidential information does not include information that is publicly known or rightfully obtained without restriction.

9.2 Unless otherwise agreed in writing, Contractor shall own all right, title and interest in and to deliverables, drawings and work product produced for the Project. Subcontractor hereby assigns all such rights to Contractor and agrees to execute documents reasonably necessary to effectuate the assignment.

10. COMPLIANCE WITH LAWS

10.1 Subcontractor shall comply with all applicable federal, state and local laws, ordinances, codes, regulations and lawful orders, including employment, safety and environmental laws, in the performance of the Work.

11. TERMINATION

11.1 Contractor may terminate this Agreement for cause if Subcontractor fails to cure a material breach within days after written notice. Contractor may also terminate for convenience upon written notice to Subcontractor, subject to payment for Work properly performed to the date of termination.

12. ASSIGNMENT

12.1 Neither Party may assign this Agreement without the prior written consent of the other Party, except that Contractor may assign its rights to an affiliate or successor in connection with sale of the Prime Contract without Subcontractor's consent.

13. NOTICES

13.1 All notices, demands or communications required or permitted under this Agreement shall be made in writing and delivered to the addresses set forth below or to such other address as a Party may designate by written notice to the other Party:

14.1 This Agreement may be amended only by a writing signed by authorized representatives of both Parties. No waiver of any default or breach shall be effective unless in writing and signed by the waiving Party.

15. GOVERNING LAW

15.1 This Agreement shall be governed by and construed in accordance with the laws of the State of without regard to its conflict of laws principles.

16. ENTIRE AGREEMENT; SEVERABILITY

16.1 This Agreement, together with the Contract Documents expressly incorporated herein, constitutes the entire agreement between the Parties with respect to the subject matter hereof and supersedes all prior negotiations, representations and agreements, whether written or oral.

16.2 If any provision of this Agreement is held invalid or unenforceable, the remaining provisions shall continue in full force and effect and the Parties shall replace the invalid provision with a valid provision that most closely reflects the Parties' intent.

17. COUNTERPARTS

17.1 This Agreement may be executed in counterparts, each of which shall be an original and all of which together shall constitute one and the same instrument. Signatures transmitted by facsimile or electronic image shall be effective as originals.
