What a Subcontractor Trade Agreement Covers

A Subcontractor Trade Agreement is a written contract that sets the working relationship between a prime contractor and a subcontractor for trade-specific services. It defines scope of work, schedules, payment terms, insurance and indemnity obligations, materials and quality standards, site access, change-order procedures, and dispute-resolution methods to reduce ambiguity and limit project risk.

Why a Clear Agreement Matters for Projects

A well-drafted Subcontractor Trade Agreement reduces payment disputes, clarifies responsibility for defective work, protects against uninsured liabilities, and documents change-order approval and schedule expectations to keep projects on time and within budget.

Why a Clear Agreement Matters for Projects

Who Typically Prepares and Signs These Agreements

Typical parties include general contractors, trade subcontractors, project managers, and owners who need written terms before work begins.

  • General contractors and prime contractors who hire trade subcontractors for specific scopes of work.
  • Trade subcontractors (electrical, plumbing, HVAC, carpentry) who need to document payment, scope, and warranty terms.
  • Project managers and owners who require contractual assurance of performance, insurance, and completion schedule.

Parties should ensure authorized signers execute the agreement, and distribution copies are kept for contract administration and record retention.

Core Clauses to Include in a Subcontractor Trade Agreement

A professional agreement organizes obligations and remedies so both parties understand responsibilities, payment flows, and risk allocation before work commences.

Scope of Work

Precisely describe tasks, deliverables, and exclusions so there is no ambiguity about what the subcontractor will provide during the project.

Payment Terms

Specify contract price, progress payment schedule, retainage percentage, invoicing requirements, and conditions for withholding or setoff.

Schedule

Define start and completion dates, milestone deadlines, critical path dependencies, and procedures for time extensions due to delays.

Insurance Requirements

Name required policies, coverage limits, additional insured endorsements, certificate delivery, and lapse remedies to protect both parties.

Indemnity and Liability

Allocate responsibility for third-party claims, property damage, and bodily injury with clear indemnity and limitation-of-liability language.

Termination and Remedies

Set grounds for termination, cure periods, suspension rights, and post-termination payment or recovery procedures.

Customize the Agreement for Digital Workflows

Configure signing, authentication, and notifications to match project risk and compliance needs.

Required Fields Mark name, title, date, and insurance fields as mandatory
Conditional Fields Reveal change-order sections only when change box checked
Reminders and Escalation Auto-reminders at set intervals; escalate to project lead if unsigned

Where to Send and How to Route Signed Copies

Establish a simple routing flow so each stakeholder receives the executed agreement promptly.

  • Send to Subcontractor: General contractor initiates signature request to subcontractor contact.
  • Return to Contractor: Subcontractor signs and returns the fully executed agreement to contractor.
  • Distribute Copies: Project manager, owner, and insurance broker receive final copies.
  • Central Storage: Store PDF and audit trail in a contract repository.

Digital Signing and File Format Considerations

Use a platform that supports PDF and DOCX upload, audit trails, and configurable signer authentication.

  • File formats: PDF and DOCX supported
  • Authentication: Email, SMS code, or stronger
  • Integrations: Link to storage or PM tools

Ensure the chosen platform provides tamper-evident signed PDFs, exportable audit trails, and secure storage compatible with your retention policy and compliance needs.

Common Deadlines and Timing Items to Track

Clear deadlines avoid disputes and ensure invoicing and lien rights are handled correctly.

Effective Date:

Agreement start date governs the schedule.

Commencement of Work:

Scheduled start date or notice-to-proceed trigger.

Payment Milestones:

Dates for progress invoices and retainage release.

Warranty Period:

Duration for defect claims after completion.

Claims Notice:

Contractual deadlines for notices of delay or defect.

Common Mistakes to Avoid When Preparing the Agreement

  • Using vague scope language that omits exclusions and creates differing expectations between parties.
  • Failing to require certificates of insurance or verifying endorsements and coverage limits before work begins.
  • Not clearly defining change-order procedures and approval authority, which leads to unpaid extra work disputes.
  • Allowing unauthorized signers to execute the agreement without confirming corporate signing authority or written delegation.

Key Risks and Potential Consequences

Payment Dispute: Delayed or withheld payments
Lien Exposure: Risk of mechanic's lien filings
Tax Withholding: Backup withholding or reporting errors
Insurance Gap: Uninsured losses or claim denial
Indemnity Exposure: Broad indemnities increase liability
Unenforceable Clauses: Overbroad terms may be void
