What a Subcontractor Warranty Agreement Covers

Subcontractor Warranty Agreement is a written contract in which a subcontractor promises to repair, replace, or otherwise remedy defects in workmanship or materials supplied for a specific construction project. It defines the warranty scope, duration, exclusions, and remedies available to the contractor or owner, and typically sits alongside the prime contract and subcontract. This agreement allocates responsibility for post-completion defects, establishes notice and cure procedures, and can address assignment, indemnity, and insurance requirements. Properly drafted, it clarifies expectations and preserves remedies for defects discovered during and after project completion.

Why this Agreement Matters for Risk and Remedies

A Subcontractor Warranty Agreement protects project owners and contractors by setting clear obligations for defect correction, limiting disputes, and defining remedies. When combined with proper notice and documentation, it improves enforceability of claims and aligns expectations between contracting parties under ESIGN and UETA frameworks.

Typical Timing Elements to Include

Common Mistakes to Avoid When Preparing the Agreement

  • Using vague language for covered work that creates disputes about what is warrantied and what is excluded.
  • Failing to tie the warranty to contract drawings, specifications, or an exact scope of work reference.
  • Neglecting notice and cure procedures, which can forfeit rights if strict timelines are not followed.
  • Omitting signatory authority or failing to capture proof of signature and attribution for enforcement.

Lost Remedies: Waived claims
Payment Withhold: Retained funds
Bond Exposure: Performance bond claims
Insurance Denial: Coverage disputes
Liability Claims: Increased exposure
Litigation Costs: Higher dispute expense

Supporting Documents and Export Formats to Include

Include exhibits and supporting certificates and preserve final executed agreements in interoperable formats for evidentiary use and long-term access.

Exhibits & Attachments

Attach referenced drawings, specifications, and punchlists as numbered exhibits so the warranty ties unambiguously to contract deliverables and scope.

Insurance Certificates

Include current certificates of insurance and bond documentation, listing additional insureds and policy periods to support future claims.

Project Closeout

Retain final acceptance records, certificate of completion, and lien waivers that affect warranty obligations and potential defenses.

Export Formats

Save executed documents as PDF/A for archival, retain editable DOCX for contract updates, and preserve audit logs alongside signed PDFs.

Who Has Authority to Sign the Agreement

General Contractor

The general contractor typically administers warranties, enforces notice and cure procedures, and may require executed subcontractor warranties as a condition of final payment. The person signing must be authorized by corporate resolution or similar authority to bind the contractor.

Subcontractor

An officer or authorized agent of the subcontractor should sign. Signing transfers warranty obligations to the subcontractor; ensure signatory authority is documented to avoid challenges to enforceability.
