SUBCONTRACTOR AGREEMENT

This Subcontractor Agreement ("Agreement") is made and entered into as of Effective Date: by and between Contractor Name: , a organized under the laws of , with principal place of business at (the "Contractor"), and Subcontractor Name: , a organized under the laws of , with principal place of business at (the "Subcontractor").

RECITALS

WHEREAS, Contractor has entered into or will enter into a prime contract or purchase order (the "Prime Contract") with an Owner or third party for certain work, services or deliverables; and

WHEREAS, Subcontractor represents that it has the skill, experience and capacity to perform a portion of the work described in the Prime Contract and is willing to perform such work for Contractor on the terms set forth in this Agreement; and

WHEREAS, the parties desire to set forth their respective rights and obligations with respect to the services and deliverables to be provided by Subcontractor.

NOW, THEREFORE, in consideration of the mutual covenants contained herein and for other good and valuable consideration, the receipt and sufficiency of which are acknowledged, the parties agree as follows:

1. SCOPE OF WORK

1.1 Services. Subcontractor shall furnish all labor, materials, equipment and supervision and shall perform the work described in the Scope of Work attached hereto or described below (the "Work") in accordance with the terms of this Agreement and the reasonable directions of Contractor.

1.2 Changes. Contractor may, at any time, issue written change orders to modify the Work. Subcontractor shall not proceed with any changes that would affect the Work or the Contract Price without a written change order signed by Contractor. Pricing and schedule impacts resulting from changes shall be agreed in writing prior to commencement of changed work.

2. TERM; COMMENCEMENT; COMPLETION

2.1 Term. The term of this Agreement shall commence on Commencement Date: and continue until Completion Date: unless earlier terminated in accordance with Section 2.2.

2.2 Termination for Convenience or Default. Contractor may terminate this Agreement for convenience upon written notice to Subcontractor. Either party may terminate for material breach if the breach is not cured within a reasonable period not to exceed thirty (30) days after written notice. Termination shall be without prejudice to any rights or remedies available at law or equity.

3. COMPENSATION; PAYMENT

3.1 Contract Price. Contractor shall pay Subcontractor the amounts set forth in the Payment Schedule or as invoiced in accordance with this Agreement (the "Contract Price"). The Contract Price shall be: unless otherwise agreed in writing.

3.2 Taxes and Withholding. Subcontractor shall be responsible for all taxes, social security, insurance and other payroll obligations with respect to Subcontractor's employees and shall indemnify Contractor for liabilities arising from Subcontractor's failure to pay such obligations.

4. RELATIONSHIP OF THE PARTIES

4.1 Independent Contractor. Subcontractor is an independent contractor and not an employee, agent or partner of Contractor. Subcontractor shall have exclusive control over the means and methods of performing the Work, subject to Contractor's rights under this Agreement and the Prime Contract.

5. WARRANTIES; ACCEPTANCE

5.1 Performance Warranty. Subcontractor warrants that all Work shall be performed in a professional and workmanlike manner, in accordance with industry standards and the requirements of the Prime Contract, and shall be free from defects for Warranty Period (months): months following final acceptance.

5.2 Correction of Defects. Subcontractor shall promptly correct, at its sole expense, any defective Work discovered during the warranty period. Corrections shall be completed within a commercially reasonable time after notice from Contractor.

6. INSURANCE

6.1 Insurance Requirements. Subcontractor shall maintain at its expense insurance coverage with limits not less than:

7. CONFIDENTIALITY

7.1 Confidential Information. Subcontractor acknowledges that it may receive confidential, proprietary or trade secret information of Contractor or the Owner ("Confidential Information"). Subcontractor shall hold Confidential Information in strict confidence and shall not disclose or use it except as necessary to perform the Work or as required by law.

7.2 Exceptions. Confidential Information does not include information that is (a) already known to Subcontractor without an obligation of confidentiality, (b) publicly available through no fault of Subcontractor, or (c) independently developed by Subcontractor without use of Confidential Information.

8. INTELLECTUAL PROPERTY; WORK PRODUCT

8.1 Ownership. All work product, designs, drawings, reports and deliverables created by Subcontractor in the performance of the Work (collectively, "Work Product") shall be deemed "works made for hire" and shall be the exclusive property of Contractor. To the extent any rights do not automatically vest in Contractor, Subcontractor hereby assigns, transfers and conveys to Contractor all right, title and interest in and to the Work Product, including all intellectual property rights.

8.2 License to Background IP. Subcontractor grants Contractor a non-exclusive, perpetual, royalty-free license to use any Subcontractor background intellectual property incorporated in the Work Product to the extent necessary to enjoy the full benefit of the Work Product.

9. INDEMNIFICATION

9.1 Subcontractor Indemnity. To the fullest extent permitted by law, Subcontractor shall indemnify, defend and hold harmless Contractor, its officers, directors, agents and employees from and against any and all claims, liabilities, damages, losses and expenses (including reasonable attorneys' fees) arising out of or resulting from Subcontractor's performance of the Work, any breach of this Agreement by Subcontractor, or any negligent or willful act or omission of Subcontractor.

9.2 Contractor Remedies. The indemnities set forth in this Section 9 are independent of obligations imposed by insurance and shall survive termination of this Agreement.

10. LIMITATION OF LIABILITY

10.1 Exclusion of Consequential Damages. Except for liability resulting from willful misconduct or gross negligence, neither party shall be liable to the other for consequential, incidental, special or punitive damages, including loss of profits, revenue or business opportunity, whether in contract, tort or otherwise.

11. COMPLIANCE; SAFETY

11.1 Laws and Permits. Subcontractor shall comply with all applicable laws, codes, regulations and permit requirements and shall obtain and maintain all necessary licenses, permits and approvals in connection with the performance of the Work.

11.2 Safety. Subcontractor shall at all times maintain safe work practices and take all reasonable precautions to protect persons and property. Subcontractor shall be responsible for the acts and omissions of its employees, agents and subcontractors.

12. SUBCONTRACTING AND ASSIGNMENT

12.1 Subcontracting. Subcontractor shall not subcontract any portion of the Work without the prior written consent of Contractor. Subcontractor shall require any permitted subcontractor to be bound by obligations no less protective of Contractor than those imposed on Subcontractor under this Agreement.

12.2 Assignment. Neither party may assign or delegate its rights or obligations under this Agreement without the prior written consent of the other party, except that Contractor may assign this Agreement to its successor in interest to the Prime Contract.

13. RECORDS; AUDIT

13.1 Records. Subcontractor shall keep accurate books and records related to the Work and the costs billed to Contractor. Such records shall be maintained for a period of not less than three (3) years following final payment.

13.2 Audit. Upon reasonable written notice, Contractor or its authorized representative shall have the right to audit Subcontractor's records related to the Work during normal business hours to verify compliance with this Agreement.

14. NOTICES

All notices, consents and other communications required or permitted under this Agreement shall be in writing and shall be delivered to the address set forth below for each party by hand, nationally recognized overnight carrier, certified mail (return receipt requested) or email where receipt can be confirmed. Notices are effective upon receipt.

15. DISPUTE RESOLUTION

15.1 Negotiation; Escalation. The parties shall first attempt in good faith to resolve any dispute through negotiation between senior representatives.

15.2 Arbitration. If the dispute is not resolved by negotiation within thirty (30) days, the dispute shall be finally resolved by binding arbitration under the commercial arbitration rules selected by the parties. The seat of arbitration shall be located in Governing Jurisdiction: and the award shall be final and binding and may be entered in any court of competent jurisdiction.

16. GOVERNING LAW

This Agreement shall be governed by and construed in accordance with the laws of Governing State: without regard to its conflicts of law rules.

17. ENTIRE AGREEMENT

This Agreement, including any exhibits, attachments and the Prime Contract requirements incorporated herein by reference, constitutes the entire agreement between the parties with respect to the Work and supersedes all prior and contemporaneous agreements, understandings, negotiations and discussions, whether oral or written.

18. SEVERABILITY

If any provision of this Agreement is held to be invalid or unenforceable, such provision shall be severed and the remainder of the Agreement shall remain in full force and effect to the maximum extent permitted by law.

19. AMENDMENTS; WAIVER; COUNTERPARTS

Any amendment to this Agreement must be in writing and signed by authorized representatives of both parties. No waiver of any breach shall constitute a waiver of any other breach. This Agreement may be executed in counterparts, each of which shall be deemed an original and all of which together shall constitute one instrument.

20. MISCELLANEOUS

20.1 Relationship to Prime Contract. Subcontractor shall perform the Work in a manner that ensures Contractor's compliance with the Prime Contract. To the extent of any conflict between this Agreement and the Prime Contract terms required by the Owner, the Prime Contract requirements shall govern the performance of the applicable Work and Subcontractor shall comply therewith.

20.2 Survival. Provisions that by their nature survive termination (including Sections 5, 6, 7, 8, 9, 10, 13 and 16) shall survive expiration or termination of this Agreement.
