WHEREAS

WHEREAS, Producer engages in the creation, production and distribution of visual and audio media and related promotional materials (the "Production"), and Subject has agreed to render services and/or to appear in the Production; and

WHEREAS, Producer desires to obtain from Subject the rights described below and Subject agrees to grant such rights in exchange for the consideration set forth in this Release; and

WHEREAS, the parties intend by this instrument to set forth their entire agreement governing the use of Subject's name, likeness, image, voice, performance and biographical information in connection with the Production.

Subject hereby irrevocably grants and assigns to Producer, its successors, licensees and assigns, the exclusive, transferable, sublicensable, worldwide, royalty-free right to record, reproduce, edit, adapt, publish, distribute, exhibit and otherwise use Subject's name, voice, likeness, image, performance and biographical material in any and all media now known or hereafter devised for the full term of any rights granted under applicable law, including renewals and extensions. Subject waives any right of inspection or approval of the finished product and of any promotional materials that incorporate the subject matter.

Confidentiality

Except as required for the use permitted under this Release, each party shall keep confidential all non-public business information disclosed by the other party and shall not disclose such information to third parties without prior written consent. Confidential information does not include information that is in the public domain through no fault of the receiving party or that is required to be disclosed by law.

Representations, Warranties and Indemnification

Subject represents and warrants that Subject has full right, power and authority to enter into this Release and to grant the rights herein and that no further approvals are required. Subject agrees to indemnify, defend and hold harmless Producer and its licensees and assigns from any claims, liabilities, damages or expenses (including reasonable attorneys' fees) arising out of any breach of the foregoing representations or arising from Subject's acts or omissions in connection with the Production.

Moral Rights; Waiver

Subject hereby irrevocably waives any moral rights or rights of attribution, integrity or the like in any work created or derived from Subject's performance and understands that Producer may alter, edit or modify the recorded materials without restriction.

Governing Law; Entire Agreement

This Agreement shall be governed by and construed in accordance with the laws of: , without regard to conflict of laws principles. This Release constitutes the entire agreement between the parties with respect to the subject matter hereof and supersedes all prior and contemporaneous agreements, understandings and communications, whether written or oral.
