SUBLEASE AGREEMENT

Parties and Premises

Recitals

WHEREAS, Sublessor is the tenant under a master lease (the "Master Lease") covering the Premises, originally dated and made with Landlord: ; and

WHEREAS, Sublessor desires to sublet, and Sublessee desires to sublease, a portion or all of the Premises on the terms set forth below, subject to the Master Lease and the consent of the Landlord where required.

Scope of Work

The permitted use and any services or special arrangements included with the Sublease are set forth below. Sublessee shall use the Premises only for the permitted uses and in compliance with all terms of the Master Lease.

Payment Terms

Rent is payable in advance on or before the day of each month to Sublessor at the address for notices or as otherwise directed by Sublessor in writing. All payments shall be in lawful currency.

If rent is not received within days after the due date, Sublessee shall pay a late fee of or a late charge equal to of the overdue amount, whichever is greater.

Term and Termination

This Sublease commences on and ends on unless sooner terminated as provided herein.

Either party may terminate this Sublease for convenience upon providing written notice to the other party at least days prior to the desired termination date. Termination by reason of default shall follow the notice and cure provisions set forth in this Sublease and the Master Lease.

Confidentiality

"Confidential Information" means non-public information of a party disclosed in connection with this Sublease. Each party shall keep confidential and not disclose Confidential Information to third parties except to its employees, agents, contractors or affiliates who reasonably need to know and who are bound to protect confidentiality. Confidential Information does not include information that is or becomes generally available to the public through no wrongful act of the receiving party, that is rightfully received from a third party without restriction, or that is independently developed without use of the disclosing party's Confidential Information. The obligations in this paragraph survive termination of this Sublease for a period of three (3) years.

Compliance with Master Lease; Landlord Consent

This Sublease is subject and subordinate to the Master Lease. Sublessee acknowledges receipt of a true and complete copy of the Master Lease provisions applicable to the Premises and agrees to comply with all terms, covenants and conditions of the Master Lease, to the extent applicable to the portion of the Premises subleased. Sublessor represents and warrants that, as of the date of this Sublease, the Master Lease is in full force and effect and that Sublessor has the right to sublease the Premises subject to any required Landlord consent.

Maintenance; Alterations; Utilities

Sublessee shall, at its expense, keep the Premises in the same condition as received, ordinary wear and tear excepted. Sublessee shall not make structural or material alterations to the Premises without Sublessor's prior written consent and, if required, Landlord's written consent. Default and Remedies

If Sublessee fails to perform any obligation under this Sublease or under the Master Lease to the extent applicable, Sublessor shall provide written notice of default and an opportunity to cure as required by the Master Lease and applicable law. If the default is not cured within the applicable cure period, Sublessor may exercise any rights or remedies available under this Sublease, the Master Lease, or at law or in equity, including termination, damages and recovery of costs and attorneys' fees incurred in enforcing this Sublease.

Indemnification

Sublessee shall indemnify, defend and hold harmless Sublessor and Landlord from and against any and all claims, losses, liabilities, damages, costs and expenses (including reasonable attorneys' fees) arising out of Sublessee's use or occupancy of the Premises, breach of this Sublease, or negligence or willful misconduct of Sublessee, its agents, employees or invitees, except to the extent caused by Sublessor's gross negligence or willful misconduct.

Return of Possession

Upon termination or expiration of this Sublease, Sublessee shall surrender possession of the Premises to Sublessor in broom-clean condition and repair, ordinary wear and tear excepted. Sublessee shall remove its personal property and return keys to Sublessor on or before the termination date.

Governing Law; Entire Agreement

This Sublease shall be governed by and construed in accordance with the laws of the State of , without regard to its choice of law rules.

This Sublease, together with any exhibits and the Master Lease provisions incorporated herein, constitutes the entire agreement between the parties with respect to the subject matter hereof and supersedes all prior negotiations, understandings and agreements. No amendment or waiver shall be effective unless in writing and signed by both parties.

Notices

All notices required or permitted under this Sublease shall be in writing and delivered to the addresses set forth below (or to such other address as a party may designate by notice).

Miscellaneous Provisions

If any provision of this Sublease is held invalid or unenforceable, the remaining provisions shall remain in full force and effect. The parties acknowledge that Sublessor may request Landlord's consent to this Sublease and that any Landlord conditions or required modifications to the Master Lease may be incorporated as necessary to secure such consent. Headings are for convenience only and shall not affect interpretation.

Counterparts: This Sublease may be executed in counterparts, each of which when so executed shall be deemed an original and all of which together shall constitute one agreement. Signatures delivered electronically or by facsimile shall be deemed originals.
