Sublessee shall indemnify, defend and hold Sublessor harmless from and against any claims, liabilities, losses or damages arising from Sublessee's use of the Premises, except to the extent resulting from Sublessor's gross negligence or willful misconduct.

DEFAULT

A default under this Agreement shall include failure to pay rent when due, material breach of any covenant, or any act causing default under the Original Lease. Upon default, the non-defaulting party may pursue all remedies available at law or in equity, including termination of this Agreement and recovery of damages.

CONFIDENTIALITY

Each party shall keep confidential all financial terms and non-public business information disclosed by the other party in connection with this Agreement, and shall not disclose such information except to the party's employees, accountants or legal advisors on a need-to-know basis, or as compelled by law.

GOVERNING LAW

This Agreement shall be governed by and construed in accordance with the laws of the State of without regard to its conflict of laws principles.

ENTIRE AGREEMENT

This Agreement, together with the Original Lease to the extent expressly incorporated herein, constitutes the entire agreement between the parties with respect to the subject matter and supersedes all prior negotiations, representations and agreements. Any amendment must be in writing and signed by both parties.

NOTICES

Notices shall be given in writing and delivered in person, by certified mail, return receipt requested, or by nationally recognized overnight courier to the addresses set forth above, or to such other address as a party may designate by written notice.

MISCELLANEOUS

The parties agree that nothing in this Agreement shall be deemed to create a partnership, joint venture or agency relationship. If any provision is held invalid or unenforceable, the remaining provisions shall remain in full force and effect.
