What a Sublease Review Agreement Is and When It Applies

A Sublease Review Agreement documents the review and approval process for a proposed sublease under an existing master lease. It records the parties involved, confirms whether the master landlord’s consent is required or obtained, and identifies any conditions or amendments needed before a subtenant may occupy the premises. This agreement is used to align responsibilities between the original tenant, the subtenant, and the landlord, and to memorialize revisions to term, rent, utilities, insurance, maintenance, and access rights that may differ from the master lease.

Why a Formal Review Agreement Matters

A written Sublease Review Agreement reduces ambiguity, protects landlord and tenant rights, and documents consent or conditions required by the master lease. It clarifies financial and operational responsibilities and provides evidence of agreed changes if disputes arise.

Why a Formal Review Agreement Matters

Who Typically Prepares and Signs This Agreement

The Sublease Review Agreement is commonly completed by parties to the proposed sublease and by representatives who manage lease compliance, such as property managers or legal counsel.

  • Property managers and leasing agents who must confirm landlord requirements and local compliance.
  • Primary tenants who need to document consent, rent adjustments, and term changes for a subtenant.
  • Subtenants and their legal or real estate representatives who require clarity on permitted uses, access, and responsibilities.

Final execution should follow any required landlord consent and internal approvals; keep signed copies with the master lease and tenant files.

Representative Roles and Typical Signatories

Primary Tenant

A tenant or tenant representative authorized under the master lease to negotiate subleases. This party confirms the sublease terms align with the master lease and typically signs to accept its obligations and to request landlord consent if required.

Subtenant

The incoming occupant or entity taking rights under the sublease. The subtenant signs to accept specified term, rent, utilities, insurance, and maintenance obligations and to acknowledge any conditions imposed by the master landlord.

Core Elements to Include in a Sublease Review Agreement

A professional Sublease Review Agreement should restate essential lease terms, outline required consents, and specify changes in rent, term, insurance, and responsibility for utilities and maintenance. Each element should reference the original lease clause where relevant and identify required approvals.

Master Lease Reference

Cite the original lease date, parties, and section references so reviewers can verify whether subletting is permitted and what consent processes and limitations apply under the master lease.

Landlord Consent

State whether landlord consent is required, whether it has been obtained, and include any conditional approvals or documentation the landlord mandates before occupancy is permitted.

Term and Rent

Specify the sublease start and end dates, renewal options, and rent amount, payment dates, and any escalation clauses, noting deviations from the master lease terms and who collects rent.

Security Deposit

Record any security deposit amount, handling procedures, and conditions for return, and specify whether the primary tenant or landlord holds and enforces deposit terms.

Insurance and Indemnity

Define insurance coverage required of the subtenant, minimum limits, additional insured status if required, and indemnity provisions to allocate risk between parties.

Maintenance & Access

Clarify responsibility for repairs, maintenance obligations, permitted alterations, and access rights for landlord inspections, repairs, or emergency entry.

Step-by-Step: Completing a Sublease Review Agreement

Follow these four sequential steps to prepare, confirm, and execute a Sublease Review Agreement that aligns with the master lease and preserves parties’ rights.

  • 01
Gather Documents: Collect master lease, tenant ledger, existing amendments, and proposed sublease draft.
  • 02
Confirm Consent Needs: Review master lease clauses to determine if landlord consent or notice is required.
  • 03
Draft Agreement: Populate review agreement fields, attach exhibits, and note deviations from the master lease.
  • 04
Obtain Signatures: Secure tenant, subtenant, and landlord signatures per signed order and authentication method.

Recommended Digital Workflow Settings for Review and Approval

Configure your online workflow to reflect the necessary reviewer order, authentication strength, and conditional routing for landlord consent and legal review.

Field Configuration
Sender Primary tenant or property manager starts the workflow
Signer Order Tenant -> Landlord (if required) -> Subtenant
Authentication Email link or SMS code; stronger KBA if required
Conditional Fields Show landlord consent checkbox only when master lease requires approval

Where to Send and How the Approval Flow Works

A clear routing order reduces delay: sender initiates, required approvers review, and executed copies are stored with the master lease.

  • Initiate: Sender uploads documents and populates fields.
  • Review: Primary tenant and legal counsel review terms and attachments.
  • Consent: Landlord reviews and signs or provides conditional approval.
  • Archive: Store executed agreement with master lease records.

Technical Requirements for Digital Completion and Sharing

Use file formats and integrations that preserve the agreement text and attachments, and ensure secure transmission and storage.

  • File Formats: PDF or DOCX preferred to preserve formatting
  • Integrations: Connectors such as Salesforce, NetSuite, and Google Workspace are common
  • Authentication: Support email, SMS, or advanced signer verification

Configure audit trails, retention policies, and shared folders (Box, Google Drive, or enterprise ECM) so executed agreements are discoverable and protected.

How a Sublease Review Agreement Differs from Related Documents

Compare common alternatives to ensure you select the correct instrument—sublease review, assignment, amendment, or novation have distinct legal effects.

Criteria Sublease Assignment Lease Amendment
Use case temporary occupancy transfer full interest modify terms
Consent required often yes usually yes sometimes required
New party liability original tenant remains liable new party liable original remains liable
Formal recording rare rare possible for important changes

Potential Legal and Financial Risks from Errors

Void Sublease: Master landlord may declare sublease void
Breach Liability: Tenant may face damages or eviction
Financial Exposure: Tenant remains liable for unpaid rent
Insurance Gaps: Claims denied if required policies are missing
Tax Consequences: Incorrect reporting or withholding obligations
Recordkeeping Failures: Difficulty defending claims without executed exhibits

Common Preparation Mistakes to Avoid

  • Failing to attach the master lease or cite relevant clause numbers makes it difficult to verify consent requirements and can delay or void approval.
  • Using vague descriptions of the premises or term allows disputes over the area sublet and the start or end dates for rent and access.
  • Neglecting to confirm insurance, indemnity, and additional insured requirements risks denied claims and unexpected liability for the primary tenant.
  • Missing or inconsistent signature dates and signer names creates uncertainty about effective dates and can complicate enforcement or tax reporting.

Key Deadlines and Timing Expectations

Track internal and external deadlines for consent, execution, and record retention to avoid breach or administrative penalties.
