What a Subrecipient Funding Agreement Is

The Subrecipient Funding Agreement is a legally binding contract that defines the financial relationship, responsibilities, and reporting requirements between a prime recipient of grant funds and a subrecipient. It specifies the scope of work, budget or funding amounts, allowable costs, performance milestones, compliance obligations, audit access, and federal or state terms that apply. The agreement clarifies payment schedules, recordkeeping, and closeout procedures, and allocates liability and indemnity provisions. It is used to ensure federal funds are managed in accordance with grant conditions and applicable law.

Why This Agreement Matters for Funders and Subrecipients

A Subrecipient Funding Agreement protects funder and subrecipient interests by documenting responsibilities, allowable costs, and compliance obligations. It reduces audit risk, clarifies reporting and payment terms, and establishes remedies and oversight rights under the grant.

Why This Agreement Matters for Funders and Subrecipients

Who Typically Prepares and Signs These Agreements

Common users include prime grant recipients, subrecipient organizations, compliance officers, and finance teams responsible for grant administration.

  • Prime recipients — set terms, allocate funds, and monitor subrecipient performance for grant compliance.
  • Subrecipient organizations — deliver project scope, manage expenditures, and provide required reports to the funder.
  • Grant managers and auditors — review budgets, verify allowability, and confirm documentation during audits.

Use this agreement whenever federal or state funds are passed to another entity to document controls, payments, and compliance obligations.

Representative Signers

CFO, Prime Recipient

The prime recipient's CFO reviews budget alignment, approves financial terms, and signs on behalf of the organization when authorized by board resolution. The CFO ensures invoicing cadence and reconciliation practices meet funder audit requirements.

Executive Director, Subrecipient

The subrecipient's Executive Director confirms program delivery, signs grant assurances, and certifies that expenditures are allowable. They coordinate programmatic reporting, respond to monitoring requests, and implement corrective actions when deficiencies are identified.

Essential Sections to Include

Core components of a professional Subrecipient Funding Agreement clarify obligations, funding mechanics, compliance, reporting, audit access, and termination or dispute processes to reduce downstream risk.

Scope of Work

Precisely describe tasks, deliverables, performance milestones, geographic limits, and acceptance criteria. Cross-reference exhibits or Statements of Work and include reporting formats and frequency to avoid ambiguity.

Budget

Itemize authorized costs, cost categories, and indirect cost treatment. State allowable versus unallowable expenses, invoicing schedule, and documentation required to support reimbursement requests, including receipts and payroll records.

Compliance

List federal and state rules, grant-specific terms, and special conditions. Require adherence to OMB Uniform Guidance where applicable and include language for reporting noncompliance and corrective action plans.

Monitoring

Define monitoring rights, site visit schedules, deliverable acceptance tests, and access to records. Specify notice periods and corrective action timelines for identified deficiencies, including follow-up reporting requirements.

Audit Access

Grantor must grant audit access to financial records, programmatic files, and electronic records. Define retention, inspection windows, and procedures for audit responses and final findings.

Termination

State termination for convenience and for cause provisions, notice periods, remedy options, and closeout obligations including final financial reconciliation, property disposition, and transfer of records to the prime recipient.

Access Controls: Role-based permissions and two-factor authentication
Data Residency Options: EU-U.S. framework support; customer-controlled storage
Document Integrity: Tamper-evident PDFs with audit certificates

Penalties and Risks of Errors or Omissions

Late Filing Penalties: 1099 penalties apply under IRC §6721
Intentional Disregard: Higher fines, no maximum cap, IRC §6721
Payment Delays: Payments withheld for documentation errors
Audit Risk: Audit findings may disallow costs
Backup Withholding: 24% backup withholding for missing TIN
Contract Termination: Funder may suspend or terminate awards

Common Preparation Pitfalls

  • Using informal scope statements that lack measurable deliverables leads to performance disputes and makes monitoring compliance difficult for the prime recipient and auditors.
  • Failing to align budget line items with allowable cost principles or the approved grant budget can result in questioned costs and repayment obligations.
  • Not verifying the subrecipient's UEI/DUNS or tax identification can delay payments and trigger backup withholding or reporting penalties from the IRS.
  • Distributing unsigned or partially signed agreements or retaining inconsistent versions creates enforceability problems and increases the risk during audits or legal disputes.

Key Deadlines and Scheduling Considerations

Key deadlines and timeframes for agreement execution, reporting, invoicing, and retention to align with grant conditions and fiscal calendars.

Agreement Effective Date:

Real-World Examples of Agreement Use

Example scenarios illustrate how organizations use Subrecipient Funding Agreements in practice to manage compliance and funds.

Case Study — University Grant

A university acting as prime recipient awarded federal research funds to multiple community partners and required formal agreements to flow funding.

  • Subrecipients received defined budgets and reporting schedules.
  • The agreement standardized invoicing, enforced allowable cost rules, and required quarterly performance reports, which reduced audit findings and improved on-time reimbursements across partner organizations, simplifying compliance tracking for the university.

Case Study — Nonprofit Program

A regional nonprofit subawarded federal program funds to local service providers with limited administrative capacity and varying financial systems.

  • Clear audit and reporting terms were required.
  • The Subrecipient Funding Agreement imposed uniform accounting templates, required UEI verification, and mandated training on allowable costs. These measures prevented reimbursement delays and enabled the prime to produce consolidated reports for the funder.

Practical Tips to Reduce Risk and Delays

Practical guidance to improve accuracy, speed, and compliance when preparing Subrecipient Funding Agreements and managing them through closeout.

Verify Entity Identifiers and Authority
Confirm the subrecipient's UEI/DUNS, EIN, and legal name against SAM.gov or IRS records. Obtain a corporate resolution or board minutes that confirm the signer's authority. Missing verification is a top cause of payment holds and audit exceptions.
Align Budget Items to Allowable Costs and Codes
Map each budget line to OMB cost principles or funder guidance and include supporting documentation templates. Ensure indirect cost allocation is documented and consistent with the approved rate to avoid questioned costs.
Standardize Reporting Templates and Schedules
Provide table-based reporting templates and a calendar of deliverables to subrecipients. Specify data formats, acceptable supporting documents, and contact points to reduce back-and-forth and accelerate reimbursement.
Use Electronic Signing and Central Archival
Adopt an eSignature workflow that captures signer identity, timestamps, and audit trails. Store signed agreements in an access-controlled repository and implement retention policies tied to federal and funder requirements.
