SCOPE OF WORK

CONFIDENTIALITY

Each party acknowledges that in connection with this Agreement it may receive confidential or proprietary information of the other party. Recipient shall use Confidential Information solely for performance under this Agreement, shall not disclose it to third parties except as permitted herein, and shall take reasonable measures to protect it. Confidential Information does not include information that is (a) publicly known through no breach hereof, (b) rightfully received from a third party without restriction, or (c) independently developed without use of the disclosing party’s confidential information.

GOVERNING LAW

This Agreement shall be governed by and construed in accordance with the laws of the state of without regard to its conflict of laws principles.

ENTIRE AGREEMENT

This Agreement, including the Scope of Work and any attachments or written addenda signed by both parties, constitutes the entire agreement between the parties with respect to the subject matter and supersedes all prior agreements, proposals, representations and understandings, whether written or oral. No amendment or modification shall be effective unless in writing and signed by authorized representatives of both parties.

Each party represents and warrants that it has the full power and authority to enter into this Agreement and that performance will not violate any other agreement or obligation. Subscriber further represents that the information provided in this Subscriber Information Sheet is true, complete and accurate to the best of its knowledge.
