SUBSCRIPTION AGREEMENT FOR PRO PLAN

This Subscription Agreement for the Pro Plan (the Agreement) is entered into as of (Effective Date) by and between the parties identified below.

Parties

WHEREAS

WHEREAS, Provider operates and licenses access to software, services, and support under its Pro Plan offering, and Subscriber desires to subscribe to and receive such services in accordance with the terms of this Agreement.

WHEREAS, the parties intend that Provider deliver access, technical support, and any ancillary services described in the Scope of Work below, and that Subscriber pay the subscription fees specified in this Agreement in consideration for such access and services.

SCOPE OF WORK

Provider shall provide the Pro Plan services described below. Details of feature set, usage limits, service levels, and permitted users shall be as set forth in the description provided by Provider and as further specified by Subscriber in the field below.

PAYMENT TERMS

Subscriber shall pay Provider the subscription fee and any applicable taxes and charges in accordance with the terms below.

Late payments shall be subject to the following charges:

Provider may suspend access to the Pro Plan for any account with outstanding amounts thirty (30) days past due. Subscriber is responsible for all collection costs and reasonable attorneys' fees incurred by Provider in collecting overdue amounts.

TERM AND TERMINATION

The term of this Agreement shall commence on and continue until unless earlier terminated in accordance with this section.

The subscription will auto-renew at the end of the term on the same billing cycle unless either party gives written notice of non-renewal at least days prior to the then-current term expiration.

Either party may terminate this Agreement for material breach by the other party upon thirty (30) days' written notice if the breach remains uncured at the expiration of such period. Provider may terminate immediately for non-payment or material security breaches.

CONFIDENTIALITY

Each party shall treat as confidential and shall not disclose to any third party any Confidential Information of the other party. Confidential Information means non-public business, technical or financial information disclosed in connection with this Agreement. Confidentiality obligations shall survive termination of this Agreement for years, except where longer protection is required by applicable law.

DATA AND PRIVACY

Provider shall implement reasonable administrative and technical safeguards to protect Subscriber Data. Subscriber retains all right, title and interest in its data. Provider may process Subscriber Data only to provide the Pro Plan and as otherwise authorized in writing by Subscriber.

LIMITATION OF LIABILITY

EXCEPT FOR LIABILITY ARISING FROM BREACH OF CONFIDENTIALITY, WILLFUL MISCONDUCT, OR LIABILITY FOR DEATH OR BODILY INJURY, IN NO EVENT SHALL EITHER PARTY'S AGGREGATE LIABILITY ARISING OUT OF OR RELATED TO THIS AGREEMENT EXCEED THE AMOUNTS PAID OR PAYABLE BY SUBSCRIBER TO PROVIDER UNDER THIS AGREEMENT DURING THE SIX (6) MONTHS PRECEDING THE EVENT GIVING RISE TO LIABILITY.

GOVERNING LAW

This Agreement shall be governed by and construed in accordance with the laws of without regard to conflict of laws principles.

ENTIRE AGREEMENT

This Agreement, together with any order forms, exhibits, or schedules expressly incorporated herein, constitutes the entire agreement between the parties with respect to the subject matter and supersedes all prior and contemporaneous agreements and understandings, whether written or oral. No amendment or waiver shall be effective unless in writing and signed by an authorized representative of each party.

NOTICES

All notices required or permitted under this Agreement shall be in writing and delivered to the notice addresses set forth above or to such other address designated by either party in writing. Notices are effective upon delivery by hand, three (3) days after deposit in the U.S. mail, or one (1) business day after delivery to an overnight courier.
