What the Subscription Agreement for Quona Is

The Subscription Agreement for Quona is a contractual document used to record an investor's commitment to purchase equity or other securities offered by Quona. It sets out the investor's identity, purchase amount, payment terms, representations and warranties, closing conditions, and the mechanics for share issuance. The agreement also defines acceptance criteria, conditions precedent, and remedies for breach. For electronic execution, the agreement must meet federal and applicable state electronic signature rules so that signatures are attributable, consented to, and the record is retained for reproduction.

Why a Clear Subscription Agreement Matters

A well-drafted Subscription Agreement protects both issuer and investor by documenting price, quantity, representations, closing mechanics, and dispute terms. Clear provisions reduce ambiguity at closing and help ensure regulatory compliance related to securities transfer, anti-money laundering checks, and investor accreditation verification.

Why a Clear Subscription Agreement Matters

Who Typically Prepares and Signs This Agreement

Parties involved often include the issuer's corporate counsel or finance team, the subscribing investor, and an administrative signer who coordinates closing.

  • Issuer legal or finance lead — prepares and vets terms and conditions for the offering, coordinates signatures, and confirms corporate authority.
  • Investor representative or counsel — reviews representations, confirms accreditation status, and signs on behalf of the investor entity when authorized.
  • Transfer agent or registrar contact — receives closing instructions, processes payment, and updates cap table or register following acceptance.

Use clear delegation of signing authority and retain signature evidence to simplify post-closing recordkeeping and regulatory reporting.

Who Has Authority to Sign

Authorized Signer

An individual expressly authorized by the subscribing entity (officer, manager, or duly appointed agent) must sign. Verify delegation via corporate resolution or signed authorization to avoid invalidating the subscription.

Company Officer

For the issuer, an officer with delegated authority (CEO, CFO, or corporate secretary) signs acceptance and closing certificates. Maintain board minutes or resolutions evidencing authority to issue securities.

Step-by-Step: How to Complete and Execute the Agreement

Follow these four steps to prepare, approve, sign, and record the subscription for a smooth closing.

  • 01
Prepare Document: Populate investor details, purchase amount, and closing conditions accurately.
  • 02
Verify Authority: Obtain corporate resolutions or power of attorney when an agent signs for an entity.
  • 03
Execute Signatures: Collect signatures from investor and issuer; use electronic signing with a clear audit trail.
  • 04
Record and Issue: Process payment, update cap table, and issue stock certificates or ledger entries.

Where to Send and How to Route the Subscription Agreement

Use a controlled routing process so each party receives the correct version and the signed copy is preserved for records.

  • Issuer Legal: Issuer counsel or named legal contact retains executed original and coordinates closing.
  • Investor Records: Investor receives fully executed copy for their books and tax records.
  • Transfer Agent: Transfer agent or registrar receives closing instructions and allocates shares.
  • Accounting: Finance team records receipt of funds and updates financial ledgers.

Digital Signing and Submission Requirements
