SUBSCRIPTION AGREEMENT

THIS SUBSCRIPTION AGREEMENT (the Agreement) is made effective as of by and between:

WHEREAS

WHEREAS, Provider operates and maintains certain subscription services, products, software, or access rights described herein (the Services); and

WHEREAS, Subscriber desires to obtain access to and use of the Services on the terms and conditions set forth in this Agreement, and Provider desires to provide such access in accordance with those terms; and

NOW, THEREFORE, in consideration of the mutual promises and covenants contained in this Agreement, the parties agree as follows:

SCOPE OF WORK

Provider will deliver access to the Services and any ancillary support, professional services, or deliverables described below. Subscriber's access is limited to the scope, user counts, and features set out in this Agreement and any Statement of Work executed by the parties.

PAYMENT TERMS

Subscriber shall pay Provider the subscription fees and any one-time setup fees specified below. All fees are exclusive of taxes and duties, which are the responsibility of Subscriber unless otherwise agreed in writing.

All amounts not paid when due shall accrue interest at the rate stated above or, if no rate is specified, at the lesser of 1.5% per month or the maximum rate permitted by applicable law. Provider may suspend access to the Services for nonpayment after ten (10) days' written notice.

TERM AND TERMINATION

This Agreement commences on the Start Date and continues until the End Date unless earlier terminated in accordance with this Agreement.

Either party may terminate this Agreement for material breach by the other party if the breach is not cured within the notice period specified above after receipt of written notice describing the breach. Provider may terminate immediately for nonpayment. Termination shall not relieve Subscriber of its obligation to pay fees accrued through the effective date of termination.

CONFIDENTIALITY

Each party (the Receiving Party) shall hold in confidence and shall not disclose to any third party or use for any purpose other than performance under this Agreement any Confidential Information of the other party (the Disclosing Party) except as expressly permitted in this Agreement. Confidential Information includes nonpublic business, technical or financial information disclosed in any form. Confidential Information does not include information that: (a) is or becomes public through no fault of the Receiving Party; (b) is rightfully obtained by the Receiving Party from a third party without breach of any obligation; or (c) is independently developed by the Receiving Party without use of the Disclosing Party's Confidential Information. The Receiving Party may disclose Confidential Information to its employees, contractors, and advisors on a need-to-know basis subject to obligations of confidentiality no less protective than those herein.

LIMITATION OF LIABILITY

EXCEPT FOR LIABILITY ARISING FROM WILLFUL MISCONDUCT OR GROSS NEGLIGENCE, OR A PARTY'S BREACH OF ITS CONFIDENTIALITY OBLIGATIONS, IN NO EVENT SHALL EITHER PARTY BE LIABLE FOR INDIRECT, INCIDENTAL, CONSEQUENTIAL, SPECIAL OR PUNITIVE DAMAGES, OR FOR LOSS OF PROFITS OR REVENUE. THE AGGREGATE LIABILITY OF PROVIDER FOR ANY CLAIM ARISING OUT OF OR RELATING TO THIS AGREEMENT SHALL NOT EXCEED THE TOTAL AMOUNTS PAID OR PAYABLE BY SUBSCRIBER TO PROVIDER UNDER THIS AGREEMENT DURING THE TWELVE (12) MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM.

NOTICES

All notices required or permitted under this Agreement shall be in writing and delivered to the addresses set forth below (or such other address as a party may specify by notice).

GOVERNING LAW; DISPUTE RESOLUTION

This Agreement shall be governed by and construed in accordance with the laws of the State of without regard to conflict of law principles. The parties agree that any dispute arising out of or relating to this Agreement shall be resolved by the courts located in the chosen jurisdiction unless the parties mutually agree to arbitration in writing.

ENTIRE AGREEMENT

This Agreement, including any statements of work and exhibits executed hereunder, constitutes the entire agreement between the parties regarding the subject matter and supersedes all prior and contemporaneous agreements, proposals and communications, whether written or oral. No amendment to this Agreement shall be binding unless in a writing signed by authorized representatives of both parties.

MISCELLANEOUS

If any provision of this Agreement is held to be unenforceable, the remaining provisions shall remain in full force and effect. Neither party may assign its rights or delegate its duties under this Agreement without the prior written consent of the other party, except that Provider may assign to an affiliate or in connection with a merger or sale of substantially all of its assets.
