SUBSCRIPTION RENEWAL AMENDMENT

This Subscription Renewal Amendment ("Amendment") is entered into as of by and between the parties identified below.

Payment Terms

In consideration for the renewed subscription services, Subscriber shall pay the Service Provider the fees set forth below in accordance with the schedule and invoicing terms.

Monthly Quarterly Annually One-time

Late payments shall incur a late fee equal to % per month on outstanding amounts, or a flat fee of whichever is greater, assessed after a grace period of days.

Term and Termination

Either party may terminate this Amendment for material breach of the Agreement or this Amendment if the breaching party fails to cure such breach within days following written notice. For convenience, either party may terminate upon providing days' prior written notice to the other party.

Termination does not relieve Subscriber of unpaid fees accrued through the effective date of termination, and Service Provider may, to the extent permitted by law, suspend services for unpaid amounts following ten (10) days' written notice.

Confidentiality

Each party shall treat as confidential and shall not disclose to any third party any Confidential Information of the other party. "Confidential Information" means non-public business, technical, financial, and other information marked confidential or that reasonably should be understood to be confidential. The receiving party shall protect Confidential Information with at least the same degree of care it uses to protect its own confidential information but in no event less than reasonable care.

Confidential obligations shall remain in effect for years following termination or expiration of this Amendment, except for trade secrets which shall be protected for as long as they qualify as trade secrets under applicable law. Disclosure required by applicable law or court order is permitted so long as the disclosing party provides prior notice where practicable and reasonably cooperates with the other party's efforts to seek confidential treatment.

Governing Law

This Amendment shall be governed by and construed in accordance with the laws of , without regard to its conflict of laws principles. The parties submit to the exclusive jurisdiction of the state and federal courts located in that state for disputes arising under this Amendment.

Entire Agreement; Amendment

This Amendment and the Agreement (as amended hereby) contain the entire understanding of the parties with respect to the subject matter hereof and supersede all prior and contemporaneous agreements and understandings, whether written or oral. Except as specifically modified herein, all terms and conditions of the Agreement remain in full force and effect. Any further amendment must be in writing and signed by authorized representatives of both parties.
