Recitals

WHEREAS, the Service Provider named above is engaged in the business of providing subscription-based software, content, or services described below; and

WHEREAS, the Client desires to obtain and the Service Provider agrees to provide the subscription services on the terms and conditions set forth in this Subscription Service Request (this "Request"); and

WHEREAS, the parties intend for this Request, when executed, to constitute the operative agreement governing the Client's subscription to the services specified herein.

Any changes to the Scope of Work shall be documented in writing and signed by authorized representatives of both parties, and may affect fees and delivery timelines.

Payment Terms

All fees are due in accordance with the billing schedule. If payments are not received when due, the Service Provider may suspend access to services after providing the Client with written notice and the opportunity to cure within the notice period described below. Late charges shall accrue at the rate specified above or the maximum rate permitted by law, whichever is less.

Either party may terminate this Request for material breach by the other party if such breach remains uncured thirty (30) days following written notice, unless a different cure period is mutually agreed in writing. Termination does not relieve the Client of its obligation to pay fees accrued through the effective date of termination, except as otherwise expressly stated herein.

Confidentiality

Each party acknowledges that during the term of this Request it may receive confidential or proprietary information of the other party ("Confidential Information"). Each party agrees to maintain the confidentiality of such information and to use it only for performance of this Request. Confidential Information does not include information that: (a) is or becomes publicly known through no breach; (b) was rightfully in the receiving party's possession prior to disclosure; (c) is received from a third party without breach of obligation; or (d) is independently developed without use of Confidential Information.

Notwithstanding the foregoing, a party may disclose Confidential Information to comply with applicable law or a valid order of a court or governmental authority, provided that the disclosing party provides prompt notice to the other party to allow a request for protective measures, unless prohibited by law.

Governing Law

This Request shall be governed by and construed in accordance with the laws of the state specified below, without regard to conflict of law principles.

Entire Agreement

This Request, together with any attachments or executed statements of work, constitutes the entire agreement between the parties with respect to the subject matter hereof and supersedes all prior and contemporaneous agreements, proposals, and communications, whether oral or written. No modification of this Request will be effective unless made in writing and signed by authorized representatives of both parties.
