What the Subtrade Services Agreement Is and When It’s Used

A Subtrade Services Agreement is a written contract used when a primary contractor hires a subcontractor to perform defined trade work on a construction or project-based job. The document sets the scope of work, schedule, payment terms, insurance and bonding requirements, lien waiver obligations, change-order procedures, site access rules, warranty periods, and dispute resolution methods. It allocates risk between parties, clarifies who provides materials and permits, and establishes invoicing and retention practices. Properly executed, it creates enforceable obligations and reduces misunderstandings on multi-party projects.

Key Reasons to Use a Subtrade Services Agreement

A clear, written Subtrade Services Agreement reduces ambiguity on deliverables, protects payment rights, and defines insurance and indemnity obligations to limit risk exposure.

Key Reasons to Use a Subtrade Services Agreement

Typical Parties Who Complete This Agreement

The agreement is most commonly completed by general contractors, specialty subcontractors, and project managers before on-site work begins.

  • General contractors coordinating project scope, schedules, and payments between owner and subtrades.
  • Subcontractors delivering trade-specific labor or materials, protecting their payment and warranty rights.
  • Project managers and procurement teams ensuring regulatory and insurance compliance on behalf of the owner.

Accurate completion helps procurement, payroll, and compliance teams avoid payment delays and contractual disputes.

Essential Clauses to Include in a Professional Agreement

A robust Subtrade Services Agreement contains clauses that allocate responsibilities, secure payment, and establish performance standards tailored to the trade and project size.

Scope of Work

Precisely describe tasks, deliverables, plans, and any excluded items so both parties share a common expectation for performance.

Payment Terms

State rates, schedule, retainage percentage, invoicing cadence, and acceptable backup documentation for disbursements and progress payments.

Change Orders

Specify how changes are proposed, approved, priced, and scheduled to prevent scope creep and disputes over additional work.

Insurance/Bonding

List required insurance types and limits (general liability, workers’ comp) and any payment or performance bonds.

Lien Waivers

Define when conditional and unconditional lien waivers are exchanged, and link waivers to progress or final payments.

Termination & Remedies

Outline default events, cure periods, termination rights, and remedies including withholding, setoff, and dispute resolution steps.

Data and Compliance Items to Record

Work Location: Project address and bid/permit references
Contract Dates: Effective date and expected completion date

Common Legal and Financial Risks if the Agreement Is Incorrect

Payment Delays: Loss of cash flow
Lien Exposure: Priority claim on property
Insurance Gaps: Uninsured loss risk
Scope Disputes: Costly change-order litigation
Termination Claims: Wrongful termination liability
Tax Withholding: Backup withholding or penalties

Frequent Preparation Mistakes to Avoid

  • Vague scope descriptions that leave key tasks undefined and create disputes about what deliverables are included or excluded from the contract price.
  • Failing to link payment milestones to specific deliverables or inspections, which permits disagreements over when retainage or progress payments are due.
  • Using inconsistent party names or tax IDs across documents, which can delay payments, complicate 1099 reporting, and trigger backup withholding.
  • Overlooking insurance or bonding requirements that lead to uncovered exposures and may invalidate contractor indemnities or owner protections.
