Recitals

WHEREAS, Assignor is the current tenant under a lease agreement (the Lease) for Suite No. located at (the Premises); and

WHEREAS, Assignor desires to assign and transfer to Assignee, and Assignee desires to accept, all of Assignor's right, title and interest in and to the Lease and the right to occupy the Suite as set forth below; and

WHEREAS, the parties desire to set forth the terms and conditions of such assignment in writing.

Assignment

For good and valuable consideration, Assignor hereby assigns to Assignee, and Assignee hereby accepts, all of Assignor's right, title and interest in and to the Lease relating to the Suite described above, subject to the terms, conditions and limitations set forth in this Agreement.

Confidentiality

Each party shall keep confidential and shall not disclose to any third party any non-public information disclosed by the other party relating to business operations, financial terms, tenant lists, trade secrets, or other proprietary information (Confidential Information), except as required by law or as necessary to effectuate the terms of this Agreement. Confidential Information does not include information that is or becomes generally known to the public other than through a breach of this Agreement.

Representations, Warranties and Covenants

Assignor represents and warrants that (a) Assignor has full right and authority to enter into this Agreement and to assign the Lease rights described herein; (b) to Assignor's knowledge the Lease is in full force and effect and no uncured default exists other than as disclosed in writing; and (c) there are no undisclosed liens on the Assignor's leasehold interest that will impair the Assignee's use of the Suite other than as disclosed below.

Indemnification

Assignor shall indemnify, defend and hold harmless Assignee from and against any claims, liabilities or losses arising from acts or omissions of Assignor that occurred prior to the effective assignment, and Assignee shall indemnify, defend and hold harmless Assignor from and against claims, liabilities or losses arising from Assignee's use or occupancy of the Suite following the effective assignment. This indemnity survives termination of this Agreement.

Notices

Notices under this Agreement shall be delivered to the addresses set forth below by certified mail, nationally recognized overnight courier, or personal delivery and are effective upon receipt.

Assignor shall be responsible for obtaining any required consents from the landlord or other parties as a condition to the effectiveness of this assignment. Unless otherwise agreed in writing, this Agreement is conditioned upon receipt of required landlord consent.

Governing Law; Entire Agreement

This Agreement shall be governed by and construed in accordance with the laws of the State of without regard to conflict of law principles.

This Agreement, together with any exhibits or attachments signed by the parties, contains the entire agreement between the parties with respect to the subject matter hereof and supersedes all prior and contemporaneous agreements, understandings and negotiations, whether written or oral. No amendment or modification of this Agreement is effective unless in writing and signed by both parties.

Miscellaneous Provisions

If any provision of this Agreement is held invalid or unenforceable, the remaining provisions shall remain in full force and effect. The parties agree to execute such further instruments and take such further actions as may be reasonably necessary to effectuate the intent of this Agreement.
