SUNSPACE PROJECT DETAILS

This Sunspace Project Details Agreement (the Agreement) is entered into as of by and between:

WHEREAS

WHEREAS, Client desires the design, manufacture and installation of a sunspace (sunroom)/glazed enclosure and related site work described herein; and

WHEREAS, Contractor represents that it is duly qualified, experienced and capable of performing the work in a professional and workmanlike manner in accordance with industry standards; and

WHEREAS, the parties wish to set forth the scope, payment terms, schedule and other material terms for the Project as follows.

SCOPE OF WORK

Contractor shall perform all labor, furnish all materials, equipment and services necessary to complete the sunspace project at the Client location in accordance with the terms of this Agreement and any attachments or approved change orders. Deliverables include structural framing, glazing, flashing, insulation, exterior finish, interior trim, integration with existing structure, and final cleanup.

PAYMENT TERMS

The Client shall pay Contractor the contract price in accordance with the schedule below. All payments are due in U.S. dollars and are non-refundable except as expressly stated in this Agreement.

Late payments shall incur interest at the rate specified below, calculated monthly on the unpaid balance until paid in full.

TERM AND TERMINATION

This Agreement commences on and, unless earlier terminated, expires on .

Either party may terminate for material breach if the breaching party fails to cure within the notice period above after written notice. Termination for convenience by Client requires payment for work performed and reasonable demobilization costs.

CONFIDENTIALITY

For purposes of this Agreement, Confidential Information means non-public technical, commercial or financial information disclosed by one party to the other in connection with the Project. Each party shall: (a) use Confidential Information solely to perform its obligations hereunder; (b) protect Confidential Information with at least the same degree of care it uses for its own confidential information but no less than reasonable care; and (c) not disclose Confidential Information to third parties except to employees, subcontractors or advisors with a need to know who are bound by confidentiality obligations.

Confidential Information does not include information that: (i) is or becomes publicly available through no breach by the receiving party; (ii) was known to the receiving party prior to disclosure; or (iii) is rightfully received from a third party without restriction. The obligations of confidentiality survive termination of this Agreement for a period of three (3) years, except that trade secrets shall remain protected for so long as they qualify as trade secrets.

INSURANCE, WARRANTY AND RISK

Contractor shall maintain insurance customary for this type of work including general liability and workers' compensation. Contractor warrants that materials and workmanship shall be free from defects for a period specified in the contractor warranty below; warranty remedies are limited to repair or replacement at Contractor's option, unless otherwise required by law.

GOVERNING LAW AND DISPUTE RESOLUTION

This Agreement shall be governed by and construed in accordance with the laws of the State of without regard to its conflict of laws principles. Parties shall attempt in good faith to resolve disputes by negotiation prior to initiating litigation. If litigation is necessary, the parties submit to the jurisdiction of the state and federal courts located in the chosen state.

ENTIRE AGREEMENT; AMENDMENT

This Agreement, including any attachments and duly executed change orders, constitutes the entire agreement between the parties with respect to the Project and supersedes all prior negotiations and representations. Any amendment must be in writing and signed by both parties.

MISCELLANEOUS PROVISIONS

Assignment without the other party's written consent is prohibited. The parties are independent contractors and nothing in this Agreement creates a partnership, joint venture or employment relationship. If any provision is held unenforceable, the remaining provisions remain in effect.
