SUPERVISION AGREEMENT

This Supervision Agreement (Agreement) is entered into as of by and between Supervisor Name: with principal address and Client Name: with principal address .

WHEREAS

WHEREAS, Supervisor represents that Supervisor possesses the professional qualifications, experience and certifications necessary to provide supervision and oversight services in the scope described below; and

WHEREAS, Client desires to engage Supervisor to provide supervision services under the terms and conditions set forth in this Agreement and Supervisor agrees to provide such services to Client on the terms set forth herein.

SCOPE OF WORK

Services shall include direct supervision, review of case materials, periodic meetings, written feedback, and other related oversight functions appropriate to the professional practice. Specific deliverables, reporting frequency, and performance standards are as set forth in the Description of Supervision Services above or as otherwise agreed in writing.

PAYMENT TERMS

Supervisor shall submit invoices in accordance with the Payment Schedule. Client shall pay each undisputed invoice within days of receipt. All payments shall be made in United States dollars unless otherwise agreed in writing.

TERM AND TERMINATION

Term: This Agreement shall commence on and shall continue until unless earlier terminated in accordance with this Agreement.

Termination for Convenience: Either party may terminate this Agreement without cause upon providing written notice to the other party at least days prior to the effective date of termination.

Termination for Cause: Either party may terminate this Agreement immediately upon written notice if the other party materially breaches this Agreement and fails to cure such breach within days after receiving written notice specifying the breach. Upon termination, Client shall pay Supervisor for services performed through the effective date of termination.

CONFIDENTIALITY

Each party acknowledges that in the performance of this Agreement it may have access to Confidential Information of the other party. "Confidential Information" means non-public business, clinical, client, financial or technical information disclosed in connection with this Agreement. Each party agrees to: (a) hold Confidential Information in strict confidence using at least the same degree of care it uses to protect its own confidential information, but in no event less than reasonable care; (b) not disclose Confidential Information to any third party except as permitted by this Agreement; and (c) use Confidential Information solely to perform its obligations under this Agreement.

Exceptions: Confidential Information does not include information that: (i) is or becomes publicly available other than through a breach of this Agreement; (ii) is rightfully received from a third party without restriction; or (iii) is independently developed by the receiving party without use of the disclosing party's Confidential Information. A receiving party may disclose Confidential Information to the extent required by law or valid order of a governmental body, provided the receiving party gives the disclosing party prompt written notice and cooperates in any lawful effort to limit disclosure.

GOVERNING LAW

This Agreement shall be governed by and construed in accordance with the laws of the state of without regard to its conflict of laws principles. The parties submit to the exclusive jurisdiction of the state and federal courts located in that state for resolution of disputes arising under this Agreement.

ENTIRE AGREEMENT

This Agreement, including any exhibits or attachments signed by the parties, constitutes the entire agreement between the parties with respect to the subject matter hereof and supersedes all prior and contemporaneous agreements, negotiations and understandings, whether written or oral. No amendment or modification of this Agreement is binding unless in writing and signed by both parties.

MISCELLANEOUS

Independent Contractor: Supervisor is an independent contractor and not an employee or agent of Client. Supervisor is responsible for all taxes and statutory obligations arising from the compensation paid under this Agreement.

Assignment: Neither party may assign this Agreement or any of its rights hereunder without the prior written consent of the other party, except that a party may assign this Agreement to an affiliate or in connection with a merger or sale of substantially all of its assets.
